All,

 

I noticed that the draft PTI Articles of Incorporation states:

 

10. In no event shall the Corporation be controlled directly or indirectly by one or more “disqualified persons” (as defined in § 4946 of the Code) other than foundation managers and other than one or more organizations described in paragraph (1) or (2) of § 509 (a) of the Code.

 

A very similar reference was struck from the ICANN Articles of Incorporation:

 

                5(e). In no event shall the Corporation be controlled directly or indirectly by one or more "disqualified persons" (as defined in § 4946 of the Code) other

than foundation managers and other than one or more organizations described in paragraph (1) or (2) of § 509 (a) of the Code.

 

From what I recall (I can’t find the document that provided reasoning) the explanation for striking it from the ICANN AoI was that it did not apply to ICANN and referenced the incorrect section of the Code.  

 

Is there a reason why this reasoning would not also apply for the PTI AoI?
