ICANN, as the Member, will act through the ICANN Board. A resolution by the ICANN Board would be required for adoption of the articles and for any amendments or repeals thereafter.
I have a question about how Article 13 will actually be implemented. It says:
13. These Articles may only be adopted, amended, or repealed in whole or in part with the
approval of (a) at least two ICANN Directors (as defined in the Corporation’s bylaws),
(b) two Nominating Committee Directors (as defined in the Corporation’s bylaws) and
(c) the Member.
Article 6 tells us that the Corporation shall have only one member, which shall be ICANN.
How does ICANN speak in this situation? Does it require the ICANN Board to pass a vote?
