As we saw in the debacle that was the halted sale of .ORG, ultimate power over ICANN exists in the State of California where it is incorporated, up to and including the power to dissolve it. Despite the assertion in its flag California is still part of the USA, meaning that ICANN remains subject to both US federal and California state law. Any assertion otherwise is dead on delivery.

Funny ... despite all of ICANN's supposed grand changes in governance I don't see, for example, the internationalizing of the .GOV (or .MIL or .EDU) registries such that those TLDs would be offered for use by other countries as .COM and .ORG are. One would think that to be a natural consequence of the de-Americanization of the DNS. But it's not even being considered.

The original design decision to make ICANN a California nonprofit rather than an international treaty-based organization forever cements its real source of authority. Any premise otherwise, even if it takes a whole book to explain, is wishful thinking at best and misinformation at worst. (Of course, as many in our community are aware, functional control of ICANN's non-technical activities has been captured by its commercial constituencies and that hasn't changed either since the transition.)
