This is very good information Avri. Thank you. It reflects what is, in my opinion, the single real issue underlying the jurisdiction of incorporation -- that is, how the place of incorporation impacts corporate governance disputes. I would suggest that one question that derives from this (and should be asked of any alternate proposal) is how this dispute would have turned out if ICANN were incorporated in another jurisdiction. Would the results have been the same? What would have been a likely timeline for reaching the result? Etc. Sorry I couldn't attend the meeting, but I agree with the thrust of Paul's question. In this case (famous among us ICANN old-timers) ICANN's board tried to abuse its power by preventing an elected, dissident Director from accessing financial records when California Nonprofit Public Benefit law clearly gave him this right. Enforcement of the law clearly upheld accountability in this case.
