Open Date: 31 March 2017 Close Date: 10 May 2017 Originating Organization: Legal Categories/Tags: Accountability/Transparency, Bylaws Brief Overview: ICANN is posting for public comment proposed Fundamental Bylaws revisions that would move the Board Governance Committee's (BGC) responsibilities for the Reconsideration process as set forth under Article 4, Section 4.2 of the Bylaws to the Board Accountability Mechanisms Committee (BAMC). No other changes to the Reconsideration process are proposed or anticipated as a result of these Bylaws modifications. Thanks, León. As I am ignorant when it comes to history and/or context here, can anyone enlighten me and share why is this proposed change is so important? And something we need to ‘thoroughly’ reflect on and respond to? Looking at https://www.icann.org/en/system/files/files/proposed-amend-bylaws-article4-s... the only proposed change I see is to consequently replace ‘Board Governance Committee’ with ‘Board Accountability Mechanisms Committee’. According to https://www.icann.org/public-comments/bylaws-bgc-2017-03-31-en 'the responsibility for oversight of ICANN’s Reconsideration Request process, as set out in Article 4, Section 4.2 of the Bylaws’ is to be moved 'from the BGC to a new Board committee purpose-built for oversight of ICANN’s accountability mechanisms. The new Board Committee would be called "Board Accountability Mechanisms Committee" and, like the BGC, would be formed solely of Board Directors and Liaisons. The proposed Bylaws amendments do not make any other changes to the Reconsideration Request process.’ The rationale being that ‘the BGC's work relating to Reconsideration Requests has increased significantly. As a result of the increased volume of Reconsideration Requests, the BGC was required to focus more of its time on Reconsideration Requests, taking away from the time the BGC had to focus on core governance duties. Under the new ICANN Bylaws (effective 1 October 2016), the Reconsideration process has been expanded and it is anticipated that the volume and complexity of accountability mechanisms filed, including Reconsideration Requests, will likely increase. In order to maintain ICANN's commitment to accountability, the BGC recommended that its Reconsideration responsibilities be transferred to another committee of the Board, and that new committee can also be dedicated to the oversight of ICANN's other accountability mechanisms as deemed appropriate by the Board.’ I don’t know what others think but this seems reasonable to me… -Bastiaan

Leon, can you explain why, at this point, you believe that we need to comment? Certainly this is a momentous in that this is the first time we are being asked to exercise our Empowered Community powers. But as I read it, this is no more onerous than if the change was correcting a spelling mistake. And if the Bylaw had originally been written to say a Board committee had the responsibility but did not name which one (not unreasonable given that such committees change from time to time), no change would be needed at all. Since we have NO control over who the Board appoints to any given committee, changing the name of the responsible committee (or refusing this change) gives us no more control. But perhaps I missed some subtle aspect of this. The ALAC will ultimately need to approve or reject this Fundamental Bylaw, and if we thought there was a chance that we might reject, we certainly have an obligation to serve notice during the comment period. I think the fact that its the first time we are going to be putting the "empowered community" to practice makes it an important thing to pay attention to and i think that is probably what Leon was trying to communicate. Otherwise I think the proposed text itself is nothing to worry about. On another note, I for one would have love to see a BGC that is not just comprised of the board members alone, but I guess that isn't up for comment ;-) Regards On Tue, Apr 4, 2017 at 1:30 PM, Alan Greenberg <alan.greenberg@mcgill.ca> wrote:

Thanks Alan, Seun, Bastiaan, The reason why I think it is important for us to closely follow the process, thoroughly analyze it and comment is because it is the first time this is going to be done. And quoting Nigel Roberts: "It's important, I suggest, exactly because it's a harmless (in my opinion) and positive change. This means that we (the ccNSO as part of the Community) can focus on making sure that the Powers and the structure works well. If we do not participate, or pass it off as unimportant, then the whole purpose of the transition and Empowerment will be, in my opinion, diminished.” Furthermore, I also think that it’s not just the proposed bylaw change we should look at but also the proposed charters to the committees. Since the new committee will be dealing with accountability issues, it would be good to se a more detailed charter scope than that currently shown for drafting purposes. I think it is here that we will be able to have the biggest opportunity to contribute shaping that charter and where we can have a more positive impact. So it’s not about controlling appointments but rather ensuring that the committees scope serves its purpose I think. Saludos, León Best regards, León

Fully agree Leon. This is a good opportunity to be together and enlarge our participation on the future of ICANN. Kisses to all Vanda Scartezini Polo Consultores Associados Av. Otherwise I think the proposed text itself is nothing to worry about. On another note, I for one would have love to see a BGC that is not just comprised of the board members alone, but I guess that isn't up for comment ;-) Regards On Tue, Apr 4, 2017 at 1:30 PM, Alan Greenberg <alan.greenberg@mcgill.ca<mailto:alan.greenberg@mcgill.ca>> wrote: Leon, can you explain why, at this point, you believe that we need to comment?
