Staff have pulled together two tables (one for notes to ICANN and one for notes to CWG). * ICANN will respond to the "notes to ICANN". The CWG is informed of these notes for transparency. * The IOTF will take the lead in producing responses for the CWG. Action: staff is considering the suggestion made by Sidley to combine all contracts into one. 5. Project Costing Support Team * Bernard Turcotte submitted a report to the Chairs of the Transition related groups (CWG, CCWG, ICG) regarding the spending and costs associated of the transition. Now that the IANA Stewardship Transition proposals have been submitted to the U.S. National Telecommunications and Information Administration (NTIA), ICANN staff and the community are focused on a handful of efforts related to the transition, including pre-planning implementation, and continuing education and awareness-building. We collaborate with the community weekly, and often daily, to make sure we are aligned on our plans to implement the proposals. Given the high number of ongoing projects, providing clear and consistent updates has been one of ICANN’s highest priorities. Resources from all meetings and calls are postedpublicly, as are a new series of implementation planning updates. We encourage anyone interested to visit the website, and explore the sub-pages for an overview, status updates and relevant links for each project. Over the last week, a remarkable amount of work by the three legal teams went into finalizing the amended ICANN Bylaws. All of the input received during the public comment period was carefully reviewed. Many of the suggested changes to the Bylaws that would better demonstrate the recommendations in the transition proposals were incorporated, however comments aimed at changing recommendations were not incorporated. All three legal teams affirmed that the revised Bylaws are consistent with the transition proposals. For more information on how each comment was assessed,ICANN published a detailed analysis and response to each comment here. Last Friday, the ICANN Board passed resolutions to adopt the new ICANN Bylaws, which were later transmitted to NTIA as the final piece of the transition package of proposals. The Board also approved two important community agreements for signing – the Regional Internet Registries Service Level Agreement and the Internet Engineering Task Force Memorandum of Understanding Supplemental Agreement – which will become effective upon completion of the transition. The Board also approved posting of the Draft Restated Articles of Incorporation for a 40-day public comment period. The adoption of these resolutions represents a major milestone for our implementation planning. To build awareness of the transition, many ICANN community, staff and Board members have participated in and contributed to dozens of regional events, media briefings, roundtables and informational webinars since Marrakech. Our participation in these events is primarily aimed at providing details and context around the community’s proposals, answering questions, sharing developments about the status of the U.S. Government’s review process and giving updates on our implementation planning efforts. We encourage all of our stakeholders to join these informative discussions. Please visit ICANN’s events calendar to find upcoming events in your region. On Capitol Hill, the U.S. House of Representatives Energy & Commerce Subcommittee on Communications and Technology held a hearing last March during which stakeholders testified in support of the transition. The U.S. Senate Committee on Commerce, Science, and Transportation held a hearing in May during which stakeholders indicated their support for the consensus proposals and warned of the consequences of delaying or postponing the transition. During this hearing, letters of support from industry and civil society groups within the community were entered into the hearing record. Thank you to the stakeholders who worked so hard to participate in the hearings. We are grateful for your commitment to the multistakeholder model. The community has completed perhaps the most important part of this process by developing the transition proposals and new Bylaws, but our work is not yet over. All, The ICANN Board has today passed the resolution approving the new by-laws. Whilst the transition is not yet complete, congratulations to all who have worked so hard to bring the process to this point, especially ICANN staff, external legal teams and the members of and participants in the CWG-stewardship, the ICG and the CCWG-ACCT. This has been a long, arduous and at times emotional process. Through all of the debate, discussion, disagreement, compromise and journey to consensus there have been many ups and downs but I have never failed to be anything other than impressed and sometimes overwhelmed by the commitment of those who chose to be involved and who have gave their time and effort selflessly to this process. I am proud to be part of this community. We should all be. Congratulations to all! Dear all, Per the Board resolution earlier today, the Articles of Incorporation are now up for public comment: https://www.icann.org/public-comments/draft-restated-articles-incorporation…. Brief Overview Purpose: This Public Comment period seeks community input on the Draft Restated Articles of Incorporation developed to reflect the recommendations contained in the proposals by the IANA Stewardship Transition Coordination Group (ICG) and Cross Community Working Group on Enhancing ICANN Accountability (CCWG-Accountability) as provided to the ICANN Board on 10 March 2016 and transmitted to NTIA. (See Resolutions 2016.03.10.12-15 and 2016.03.10.16-19) Current Status: The proposed draft of the Restated Articles of Incorporation was developed collaboratively by the ICANN legal team and the independent counsel hired to advise the CCWG-Accountability and the Cross Community Working Group to Develop an IANA Stewardship Transition Proposal on Naming Related Functions (CWG-Stewardship). Both the independent counsel to the community groups and ICANN's General Counsel agree that the draft Restated Articles are consistent with the community proposals relating to the IANA Stewardship Transition. Next Steps: Any interested party may review and provide feedback on the draft Restated Articles during the public comment period. The comments will be analyzed and incorporated for the ICANN Board prior to its consideration of the adoption of the Restated Articles. Restated Articles must be adopted as part of the implementation planning process. New ICANN Bylaws

Blog by Dr. Steve Crocker (ICANN Board Chair) Today, on behalf of the ICANN Board, I am pleased to announce the adoption of the new ICANN Bylaws, which reflect changes made as a result of the IANA Stewardship Transition package of proposals. The new Bylaws are the result of hundreds of hours of work by the community and the legal teams. The Regional Internet Registries Service Level Agreement and Internet Engineering Task Force Memorandum of Understanding Supplemental Agreement have also been approved for signing and will go into effect after the transition. Later today, ICANN will be transmitting the new Bylaws to the U.S. Department of Commerce’s National Telecommunications and Information Administration (NTIA). NTIA has previously stated that adoption of the new Bylaws is required for them to complete their review of the proposals, which is expected to occur in June. This is an important milestone for ICANN and the community. As we await the release of NTIA’s report, we continue to prepare for implementation of the transition proposals. Securing America's Internet Domains Act

This just in. The IANA transition got a new legislative challenge in the House of Representatives Wednesday via the Securing America’s Internet Domains Act (HR-5329). Rep. Mike Kelly, R-Pa., bowed the bill, which would require NTIA to extend its existing contract with ICANN to administer the IANA functions through Sept. 30, 2019, unless the agency can certify it secured the U.S. government’s “sole ownership” of the .gov and .mil top-level domains.
