Dear IOTF members, Attached, please find the work plan to finalize PTI formation documents and ICANN-PTI contracts for agenda #2.2. You will find 2 different views of this work plan: 1) List of items and dates, and 2) Timeline view of the items and dates. We recognize that there are a couple of open items that impact this work plan: 1. The discussion around interdependency between the Bylaws and the contracts 2. Sidley's comment regarding combining the naming function contract and the inter-company services agreement For the first item, we believe that there is no interdependency between the Bylaws and the contracts and that both can move forward in a parallel fashion. We have received Sidley's notes regarding C.8.2 and C.8.3 and can reflect them in the Bylaws. Regarding the second item, below is a note from ICANN's legal: Sidley suggested that the naming function contract should have "all relevant ICANN-PTI obligations", but that is not the requirement. There are going to be several agreements between ICANN and PTI (such as the IETF and RIR subcontracts and potentially other agreements in the future), not just one. The sole agreement that is described in any of the proposals is the IANA Naming Function Contract (and SOW), which is the contract referenced in the Bylaws relating to performing the IANA naming function (and for which all of the special Empowered Community rights relate). Section 16.3 of the Bylaws is not intended to "address all the relevant ICANN-PTI obligations", just the IANA Naming Function Contract and amendments thereto. The contracts with the numbers and protocol communities are not subject to the Bylaws processes. The IANA Naming Function Contract is about the ICANN-PTI relationship with respect to the IANA Naming Function. In order for PTI to perform the IANA Naming Function, as well as the IANA Numbers Function and the IANA Protocols Function, it will need support from ICANN as contemplated by the Inter-Company Services Agreement. These services cover general business operations that, while necessary for PTI to function, are not unique or even necessarily linked to the IANA Naming Function and would still need to be provided to PTI if for some reason the IANA Naming Function Contract was terminated. Additionally, because the Inter-Company Services Agreement is about the monotonous services that a company needs to function, it would seem odd and counterproductive for them to be subject to the restrictions contemplated by the Bylaws for the IANA Naming Function. We do understand that any protected right under the Bylaws (i.e. the "Material Terms" ICANN/PTI contract provisions) should be covered in that agreement. We look forward to speaking with you soon.
