Context and Chronology The specific objectives for the Accountability and Transparency (ATRT3) Review are to review ICANN's execution of its commitment to maintain and improve robust mechanisms for public input, accountability, and transparency so as to ensure that the outcomes of its decision-making reflect the public interest and are accountabile to the Internet community. ICANN's Accountability and Transparency Review originated under the Affirmation of Commitments in 2009. Effective 1 October 2016, ICANN's obligation to conduct this review was incorporated into ICANN Bylaws. The composition of the Review Team will be determined by the ICANN community. More information is included in the "Background" section below to provide an overview of events leading up to this Call for Volunteers. Scope of the Accountability and Transparency Review The ICANN Bylaws[icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_resource…> mandate that the community conduct a periodic Review to assess how ICANN is executing its commitment to maintain and improve robust mechanisms for public input, accountability, and transparency. This ensures that the outcomes of its decision-making reflect the public interest and are accountable to the Internet community. The focus of the ATRT3 Review may include, but is not limited to, the following: * Assess and improve Board governance which may include an ongoing evaluation of Board performance, the Board selection process, the extent to which the Board's composition and allocation structure meets ICANN's present and future needs, and the appeal mechanisms for Board decisions contained in the Bylaws; * Assess the role and effectiveness of the GAC's interaction with the Board and with the broader ICANN community; make recommendations for improvements to ensure effective consideration by ICANN of GAC input on the public policy aspects of the technical coordination of the DNS; * Assess and improve the processes by which ICANN receives public input (including adequate explanation of decisions taken and rationale); * Assess the extent to which ICANN's decisions are supported and accepted by the Internet community; * Assess the policy development process to facilitate enhanced cross community deliberations, and effective and timely policy development; * Assess and improve the Independent Review Process; and * Assess the extent to which prior Accountability and Transparency Review recommendations have been implemented and the extent to which implementation of such recommendations has resulted in the intended effect. Compensation ATRT3 Review Team members will not receive compensation from ICANN for their service on the team. However, travel, meal and lodging costs for Review Team members who participate in Review Team meetings will be reimbursed upon request in accordance with ICANN's community support travel guidelines[icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_en_news_…>. Responsibilities Review Team members will have the following general responsibilities: * Participate in creation of charter documents for the Review Team; * Select appropriate performance indicators and benchmarks; * Consider public, ICANN Organization and Board input and incorporate it as appropriate in Review Team recommendations; * Determine whether additional data or analysis is needed and participate in an ensuing provider selection, if necessary, in accordance with ICANN procurement practices; * Provide timely updates to the community on the status of the Review Team's work; * Analyze findings; * Draw conclusions based on findings, develop useful, feasible and implementable recommendations; * Provide guidance on prioritization of recommendations and definition of desired outcomes; * Post the Draft Report of the Review Team for public review and comment; * Deliver a Final Report of the Review Team; * Designate several Review Team members to participate in the implementation planning work that follows the delivery of the Final Report of the Review Team and Board action on the recommendations. Skills and Experience To compose a well-balanced Review Team, ICANN seeks members who, in the aggregate, possess the following skills and experience: * Performance assessment and audits * Good governance and board performance * Performance measurement * Process improvement * Knowledge of recognized frameworks for organizational excellence * Principles of accountability applicable to organizations broadly similar to ICANN Desired Attributes Applicants should possess the following professional and personal attributes: * Commitment and time to participate * Multistakeholder community understanding * Team spirit, adaptability, consensus-seeking attitude * Willingness to learn * Readiness to contribute * Capacity to reason objectively, putting aside personal opinions or preconceptions * Analytical skills * Good communication skills using multiple methods and tools Methodology, Budget and Support ICANN will provide the Review Team with a clearly articulated review budget. Throughout the Review, the Review Team will periodically report on its progress related to planned schedule and budget. ICANN organizational support will be made available to the Review Team. Support will include assistance with project management, organization of work, documents and activities, and sharing of tools and best practices for conducting an effective review. English is the working language of the Review Team. However, prior to the incorporation of this review into the ICANN Bylaws, several events took place leading up to ICANN's current commitment to launch the Call for Volunteers for ATRT3 in January 2017. The Board and the ICANN Organization stand ready to support the community's direction." * December 2016 - the CCWG-Accountability Co-Chairs contacted the SO/AC Chairs<http://mm.icann.org/pipermail/accountability-cross-community/2016-December/…>, proposing a limited scope for ATRT3 as well as a reduced-size Review Team. They suggested that, if the broader ICANN Community agrees with the proposal and rationale, the SO/AC chairs issue a public statement or a letter to the ICANN CEO and Board Chair that explains why a limited scope is appropriate and indicate the level of support among the ICANN community for this limitation. Under the selection process agreed among the ICANN Supporting Organizations and Advisory Committees (SO/ACs), the top 3 nominees from each SO/AC will be guaranteed a slot. A small group of volunteer Councilors have reviewed the list and qualifications of the candidates who are seeking the GNSO’s endorsement. COUNCIL DISCUSSION – Proposal for a Facilitated Discussion between the GAC and the GNSO to Resolve Outstanding Differences in GAC Advice and GNSO Policy Recommendations concerning Second Level Protections for International Governmental Organization (IGO) Acronyms and Certain Names and Acronyms of the Red Cross Movement (25 minutes)* On 20 December 2016, the GNSO Council Chairs participated in a teleconference with several members of the ICANN Board, the GAC Chair and several GAC member representatives. The purpose of the call was to discuss possible objectives for, and the scope of, a possible facilitated discussion between the GAC and the GNSO in order to resolve the inconsistencies between GAC advice and GNSO policy recommendations on the topic of IGO and Red Cross protections. These inconsistencies mainly concern second level protections for IGO acronyms and the following Red Cross identifiers: the names of 189 Red Cross National Societies, the names International Federation of Red Cross and Red Crescent Societies and International Committee of the Red Cross, and the acronyms associated with the two international names (IFRC/FICR and ICRC/CICR). The idea for a facilitated discussion had been suggested by the ICANN Board during the second Public Forum at ICANN57, in November 2016. Following the call, the GNSO Chair requested feedback from Councilors regarding any concerns or questions about GNSO participation in the proposed discussion. Board members who had participated in the 20 December call are preparing to circulate a proposed process outline describing the objectives and scope of the proposed discussion. Here the Council will continue its deliberations on the topic, including the timing of the discussions in relation to the work of the ongoing Working Group that is conducting the GNSO’s Policy Development Process on IGO curative rights protection issues. 5.1 – Summary and update (Council Chairs) 5.2 – Council discussion 5.3 – Next steps *Item 6. COUNCIL DISCUSSION – Letter from Thick WHOIS Implementation Review Team on Privacy Issues relating to Implementation of the Thick WHOIS Consensus Policy Recommendations (10 minutes)* On 15 December 2016, the Thick WHOIS Implementation Review Team (IRT) sent a letter to the GNSO Council describing a number of privacy law developments and how the IRT has considered them (see https://gnso.icann.org/en/correspondence/irt-to-gnso-council-15dec16-en.pdf) [gnso.icann.org] <https://urldefense.proofpoint.com/v2/url?u=https-3A__gnso.icann.org_en_corr…>. Here the Council will discuss the letter, and any actions it may wish to take or feedback it may wish to provide to the IRT on this topic. *6.1 – Summary and update (Amr Elsadr)* *6.2 – Council discussion* *6.3 – Next steps* *Item 7: COUNCIL DISCUSSION – Community Budget Requests for Financial Year 2018 (15 minutes)* *On 15 December 2016, ICANN launched the *FY18 SO-AC Community Additional Budget Request process. This process concerns a dedicated part of the overall ICANN annual budget that is set aside to fund specific requests from the community for activities in that specific Financial Year not already included in the recurring ICANN budget. The deadline for submission of community budget requests for FY2018 is 30 January 2017. Following preliminary review by ICANN staff and community consultations at ICANN58 in March 2018, final assessments are expected to be made by mid-April in time for Board approval by the end of May. Advance planning will be helpful for scheduling purposes, including for GNSO Stakeholder Groups and Constituencies, coordination between and with other SO/ACs, and ensuring that sufficient time is given over to policy development work. Most string contentions (approximately 90% of the competing application sets) have been resolved through other means, and never reach an auction conducted by ICANN's authorized auction service provider. For the others, however, they proceed to an ICANN-facilitated auction. It was recognized from the outset that significant funds could accrue as a result of these ICANN-facilitated auctions of last resort. To date, over 230 million USD has been accrued. These auction proceeds have been reserved and earmarked until the ICANN Board authorizes a plan for the appropriate use of the funds. A Cross-Community Working Group (CCWG) is now being formed, and the CCWG will be tasked to develop a proposal(s) on the mechanism to allocate the new gTLD Auction Proceeds and the ICANN Board must consider the proposal. The CCWG will NOT make any recommendations or determinations with regards to specific funding decisions (i.e. which specific projects or organizations are to be funded or not). Below you will find further information concerning the various ways you can participate and/or contribute to this effort as well as the expected time commitment. What the CCWG is tasked to do The CCWG is tasked with developing a proposal(s) for consideration by the Chartering Organizations (those ICANN Supporting Organizations and Advisory Committees that have adopted the CCWG Charter) on the mechanism that should be developed in order to allocate the new gTLD Auction Proceeds. That proposal will then be submitted to the ICANN Board. As part of this proposal, the CCWG is expected to factor in a number of legal and fiduciary principles[community.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_do…> [DOC, 48 KB], due diligence requirements that preserve ICANN's tax-exempt status, as well as address matters such as potential or actual conflicts of interest. The CCWG will NOT make any recommendations or determinations with regards to specific funding decisions (i.e. which specific organizations or projects are to be funded or not). The CCWG is required to, at minimum, to give appropriate consideration to and provide recommendations on the following questions1[icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_news_ann…>, taking into account the Guiding Principles as well as the legal and fiduciary constraints outlined in the charter: 1. What framework (structure, process and/or partnership) should be designed and implemented to allow for the disbursement of new gTLD Auction Proceeds? 2. What will be the limitations of fund allocation, factoring in that the funds need to be used in line with ICANN's mission while at the same time recognising the diversity of communities that ICANN serves? 3. What safeguards are to be put in place to ensure that the creation of the framework, as well as its execution and operation, respect the legal and fiduciary constraints that have been outlined in this memo? 4. What aspects should be considered to define a timeframe, if any, for the funds allocation mechanism to operate as well as the disbursements of funds? 5. What conflict of interest provisions and procedures need to be put in place as part of this framework for fund allocations? 6. Should any priority or preference be given to organizations from developing economies, projects implemented in such regions and/or under-represented groups? 7. Should ICANN oversee the solicitation and evaluation of proposals, or delegate to or coordinate with another entity, including, for example, a foundation created for this purpose? 8. What aspects should be considered to determine an appropriate level of overhead that supports the principles outlined in this charter? 9. What is the governance framework that should be followed to guide distribution of the proceeds? 10. To what extent (and, if so, how) could ICANN, the Organization or a constituent part thereof, be the beneficiary of some of the auction funds? 11. Should a review mechanism be put in place to address possible adjustments to the framework following the completion of the CCWGs work and implementation of the framework should changes occur that affect the original recommendations? As a first step, the CCWG is expected to (1) develop and adopt a work plan and an associated schedule of activity and (2) at a minimum, to publish an Initial Report for public comment followed by a Final Report, which will be submitted to the Chartering Organizations for their consideration. The ICANN Board will consider the report in its final decision-making and the Board has committed to enter into a dialogue with the CCWG if the Board does not believe that it can accept a recommendation. How the CCWG will work The CCWG is expected to adhere to the following Guiding Principles, both in the context of its deliberations as well as the final recommendations: * Ensure transparency & openness; * Provide sufficient accountability; * Ensure that processes and procedures are lean & effective; * Take all appropriate measures to deal with conflicts of interest; and * Deal with diversity issues. ICANN WGs use transparent, open processes. As a result, the meetings of the CCWG will be recorded and transcribed, these recordings and transcriptions, together with the mailing list archives are publicly posted. The CCWG will collaborate using a public workspace for draft materials and all final work products and milestones will be documented on the WG's wiki[community.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_x_…>. How to participate There are various ways to participate in this process and it is important that you give due consideration to the desired level of involvement as well as time commitment you are able to make: Level of involvement Expected time commitment2[icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__www.icann.org_news_ann…> Requirements Individual participant 2-4 hours per week for at least 1 year (weekly conference calls + preparation time) Complete Statement of Interest as well as Declaration of Intention Mailing List Observer 1-2 hours (review of mailing list) None. Respond to public consultation 2-4 hours – per public comment opportunity (Time required to review materials and provide input). None. * Individual participants – anyone interested can volunteer to join the CCWG as a participant, regardless of whether they are members of any ICANN SO or AC or have been active participants in ICANN. Participants are expected to actively contribute to mailing list conversations as well as meetings – it is anticipated that the CCWG will at a minimum meet on a weekly basis via teleconference. Participants are expected to provide essential input to the process. Participants will be required to provide a Statement of Interest (SOI[community.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_di…>) as well as a Declaration of Intention ([include link when available]. Note, an intention to apply for these funds following the completion of the CCWG work will not preclude individuals and/or organizations from participating in the CCWG, but these intentions need to be declared as part of the CCWG transparency and accountability requirements. * Mailing list observers – for those who are merely interested in monitoring the CWG's conversations, there is the possibility to sign up as a mailing list "observer" which offers read-only access to the mailing list. Mailing list observers will not be permitted to post, will not receive invitations to the various meetings or calls of the WG and will not have to complete a Statement of Interest. At any point in time, an observer can request to switch status to participant or visa versa. * Public Consultation Respondent – In addition, there will be opportunities to provide input through public consultations and public comment processes that the CCWG is expected to organize throughout its deliberations. In addition to participants and observers, there will also be members appointed by each Chartering Organization (CO) (a minimum of two and a maximum of five per CO). In addition to participating in the deliberations in the same manner as other participants, CO appointed members are expected to serve as a liaison between their respective Chartering Organization and the CCWG. Members must, if and when necessary, ensure that the Chartering Organizations are kept up to date on the progress and deliberations of the CCWG as well as sharing any input from the Chartering Organization with the CCWG. Background In March 2015 that the Generic Names Supporting Organization (GNSO) started discussing a possible process for facilitating the conversation around new gTLD auction proceeds during the ICANN meeting in Singapore[singapore52.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__singapore52.icann.org_…>. As part of that discussion, it became clear that there was interest from the GNSO to commence formal conversations on the topic of new gTLD auction proceeds and following which, the GNSO Council reached out to other ICANN Supporting Organizations (SOs) and Advisory Committees (ACs) to determine whether there would be interest to form a cross-community working group (CCWG) on this topic. As the feedback received on the discussion paper confirmed the support for moving forward with a CCWG, James Bladel, GNSO Chair, reached out to all the ICANN Supporting Organizations and Advisory Committees to ask for volunteers to participate in a drafting team to develop a charter for a CCWG on this topic. All ICANN SO/ACs, apart from the ccNSO, responded to this request and have put forward volunteers to participate in the drafting team. The Drafting Team ('DT'), commenced its deliberations on Tuesday 23 February 2016. A draft charter for community discussion was published in advance of ICANN 56 and discussed during the cross-community session[sched.co]<https://urldefense.proofpoint.com/v2/url?u=http-3A__sched.co_7NE0&d=DgMFaQ&…> held at ICANN56. Following ICANN56, the DT reviewed all the input received[community.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_x_…> and updated the proposed charter accordingly. On 13 September, this proposed charter[community.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_x_…> was shared with all ICANN SO/ACs with the request to review it and identify any pertinent issues that would prevent adoption of the charter, if any. Subsequently, a webinar was held on 13 October to allow for some additional time and information to undertake this review. As no pertinent issues were identified, the proposed charter was submitted for adoption by the ICANN SO/ACs prior to the ICANN meeting in Hyderabad.
