Hello Kristy, Many thanks for your patience in awaiting feedback to the shared redline document, to which I have just 2 queries: 1. Could you kindly outline how the edits to clause 4 reflect the sentiment to concentrate on 'change of control' as the disqualifying criterion? 2. What did ICANN org conclude in respect of the definition for "ICANN affiliates" in clause 5? Kind regards, Justine On Fri, 25 Oct 2024 at 04:26, Kristy Buckley via SubPro-IRT < subpro-irt@icann.org> wrote:

Hi Justine, Thanks for your note and questions. For question 1, the redline shared on-list was the one we discussed during the IRT meeting #81. Based upon that discussion, we are working on a new redline, taking into account the IRT's input re: emphasis on change of control. We'll share that redline once it's ready later this week. I'll take your second question back so we can consider it for the redline we're working on this week. My understanding is that, per the ASP Handbook, we used the definition of affiliation from the Registry Agreement. We'll share an updated redline as soon as it's ready. Thanks all for your input so far. Hi Kristy, Given the obvious impact of the IRT emphasis on change of control as the single relevant factor in reassessing eligibility for ASP support, I am waiting for the new redline agreement before providing further comments on the terms and conditions.
