Legal Advice - Client Committee
All, As you know, legal advice to the CWG is on the critical path for our work. It is now both essential and urgent to get the ball rolling. To this extent, and as discussed at our recent meeting, we require a client committee which represents the group, has legal expertise and is available to brief and work with the lawyers.
From the volunteers, we had two lawyers make themselves available (Greg & Maarten) and so, together with the co-chairs, we will work with this small team of four in the first instance.
1. Greg Shatan (Partner at Abelman Frayne & Schwab) 2. Maarten Simon (General Counsel at SIDN) 3. Lise Fuhr (Co-chair) 4. Jonathan Robinson (Co-chair) We believe that this will keep us appropriately qualified, sufficiently fleet footed and closely connected to work and requirements of the CWG. Hi Jonathan I have no objection to the committee as you propose, but it was obvious from the RFP3(b) call this morning that we may have more questions related to 'trusts' that we would like some answers to. Not sure that this impacts the composition of the committee, but it may be that we have more questions to be incorporated into any work effort. Keep in mind that the client committee is for selecting and interacting with the legal expert(s), not for preparing the questions. All of us will have input regarding the questions. If we add the author of each major proposal, the client team will become too large in my opinion. The larger the client team is the more expensive the consultation will be. Hello Greg, I don't think I understand where the "expensive" will come to play. I agree that having many people may slow down the process (especially if everyone wants to have a say), however I don't think that is the kind of expense you are referring to? Just to be clear, below is what I understand to be the role of the client team: - Shortlist and select a legal council org (through remote based tools) - Be on standby to answer any question requiring layman clarification on the questions from the doc by the legal council - Regularly update the CWG on status - Receive final report from council and forward (without modification) to the CWG Considering that we have 3 variants of proposal, I think it will be logical to recognise that you understand contract co very well, Alan has understanding of the bylaw approach, while Chris/Paul understands "trust"option. I don't think 6 is a big number since they will only be responding to questions from the legal council. On a lighter note, it may be good to define and document the role of the client team for proper reference. Regards

Seun, It was not Greg but me who raised the expense issue. I assume that the advice we receive will come from written documents we provide and from live discussions between the expert(s) and the client committee. Regarding the latter, I think the larger the client team is, the longer the discussions will take thereby using more hours of the expert(s)’ billable hours. Of course, all of this depends on the cost structure of the arrangement. If there is no live interaction between the client committee and the expert(s), you may be right about a group of six, but if there is I think that six would be too many. Just my opinion. I assume that the advice we receive will come from written documents we provide and from live discussions between the expert(s) and the client committee. Regarding the latter, I think the larger the client team is, the longer the discussions will take thereby using more hours of the expert(s)’ billable hours. Of course, all of this depends on the cost structure of the arrangement.
If there is no live interaction between the client committee and the expert(s), you may be right about a group of six, but if there is I think that six would be too many.

Hello Greg, I don't think I understand where the "expensive" will come to play. I agree that having many people may slow down the process (especially if everyone wants to have a say), however I don't think that is the kind of expense you are referring to? Just to be clear, below is what I understand to be the role of the client team:
- Shortlist and select a legal council org (through remote based tools) - Be on standby to answer any question requiring layman clarification on the questions from the doc by the legal council - Regularly update the CWG on status - Receive final report from council and forward (without modification) to the CWG
Considering that we have 3 variants of proposal, I think it will be logical to recognise that you understand contract co very well, Alan has understanding of the bylaw approach, while Chris/Paul understands "trust"option. I don't think 6 is a big number since they will only be responding to questions from the legal council.
On a lighter note, it may be good to define and document the role of the client team for proper reference.

As you know, legal advice to the CWG is on the critical path for our work. It is now both essential and urgent to get the ball rolling.
To this extent, and as discussed at our recent meeting, we require a client committee which represents the group, has legal expertise and is available to brief and work with the lawyers.
From the volunteers, we had two lawyers make themselves available (Greg & Maarten) and so, together with the co-chairs, we will work with this small team of four in the first instance.
1. Greg Shatan (Partner at Abelman Frayne & Schwab)
2. Maarten Simon (General Counsel at SIDN)
3. Lise Fuhr (Co-chair)
4. Jonathan Robinson (Co-chair)
We believe that this will keep us appropriately qualified, sufficiently fleet footed and closely connected to work and requirements of the CWG.

I agree that having many people may slow down the process (especially if everyone wants to have a say), however I don't think that is the kind of expense you are referring to? Hi, I was concerned that the committee be balanced between those who are lawyer trained and those who have extensive experience as clients of legal firms. I think this group is balanced in that way, and I appreciate that it included people experienced in a variety of legal systems. As for those of us who want questions on trusts responded to (whether internally held or externally constituted) I am sure we will be watching and will comment if needed.
