Report on Meeting with Prof. Edward Swaine

Members of the IGO CRP WG: In preparation for our final WG call of 2015 tomorrow, I wanted to provide a summary of my meeting with Prof. Edward Swaine of George Washington University Law School in Washington, DC. As you know, he has been retained by ICANN to provide answers to our questions regarding the generally accepted scope of IGO sovereign immunity and its application within the UDRP context. I met with Prof. Swaine on the afternoon of Friday, December 11th at his law school office and we spoke for just over an hour. My main purpose in requesting the meeting was, besides establishing a more personal line of communications, to acquaint him with the history, purpose and operation of the UDRP (and, to some extent, the URS) and specifically with the option for a Respondent to file an intervening court action, and for either party to "appeal" a UDRP decision to a court of mutual jurisdiction. I also explained the history and purpose of our WG as well as some of the internal ICANN "politics" and dynamics concerning interactions between the Board, GAC & IGOs, and GNSO. We reviewed the WG's conclusions so far regarding our decision that there was no need to cover INGOs, and that IGOs which had asserted their Paris Convention Article 6ter protections would have standing to file a UDRP or URS, as well as our finding that some IGOs over the years had made use of the UDRO notwithstanding the sovereign immunity issue. Finally, we reviewed the specific questions posed by the WG. Throughout the discussion Prof. Swaine asked a variety of questions. I also made him aware, and he made note, of the guidance for UDRP experts provided on WIPO's website as well as the recently published volume on Domain Name Arbitration authored by Gerald Levine; its final chapter extensively discusses Paragraph 4k of the Policy (submission to a court of competent jurisdiction). Prof. Swaine is just undertaking the project and has not reached any preliminary conclusions, but believes he can provide a response to our questions in January 2016. I have suggested that he share a near-final draft so that we can review it and make comments and inquiries before it is deemed final. I also made clear that Petter and I as well as ICANN support staff will be happy to respond to any of his questions as he moves forward. I hope you find that report useful. I'll be happy to discuss the meeting further and answer any questions during our call tomorrow. We all hope that once we receive the Professor's responses to our questions we can resume our previously quick pace and move expeditiously toward a final report and recommendations. Dear IGO CRP WG Members: I know that it may be startling to receive an email regarding the IGO CRP WG after months of inactivity, but rather than hibernating for the winter we are on the cusp of starting new forward movement. First, this coming Friday, December 11th, at 2pm ET I shall be meeting with Professor Edward Swaine of George Washington University Law School here in Washington, DC. Professor Swaine was selected to be the contractor to answer the questions settled upon by our WG this past summer regarding the scope of sovereign immunity of IGOs (text below for your recollection). The primary purpose of the meeting will be to brief Prof. Swaine on UDRP practice and when an appeal to a national court might arise, answer any questions he may have, and get a sense of when he expects to complete his work and deliver a response to our questions. While we cannot add additional questions to those listed below, if you have clarifications or additional thoughts regarding those questions, or particular points you wish me to bring to his attention, please get them to me no later than Friday morning so that I can raise them in my conversation. Second, it is the thought of your Co-Chairs and supporting ICANN staff that it would be useful to have a WG call on Wednesday, December 16th to at least get a debrief from me on how my meeting with the Professor went. This will likely be our last call of 2016, but we expect to be able to get back on track early in 2016 and proceed at our previous pace once Professor Swaine's analysis is received. Best regards, Philip ***************************** QUESTIONS ON JURISDICTIONAL IMMUNITY FOR INTERNATIONAL GOVERNMENTAL ORGANIZATIONS I. Background We write to seek your assistance in ensuring that we have an accurate understanding of the current position in public international law on the issue of immunity of international governmental organizations ("IGOs") from the jurisdiction of national courts as it applies to the litigation of trademark and domain name disputes. We are the co-chairs of an ICANN Working Group ("WG"), chartered to consider whether ICANN's current dispute resolution processes-which provide an alternative to litigation for parties--should be amended to better address the needs of IGOs. The dispute resolution processes in question - the Uniform Dispute Resolution Policy ("UDRP")[1] and the Uniform Rapid Suspension procedure ("URS")[2] enable trademark owners to seek either a transfer, cancellation or suspension of an identical or confusingly similar domain name registered by a third party in bad faith (among other criteria). Both the UDRP and URS are mandatory administrative proceedings, the terms and rules of which are incorporated by reference within each domain name registration agreement. As such, a registrant of a domain name must contractually agree to the provisions of the UDRP and URS as a condition for registering a domain name. Although mandatory for domain name registrants, neither the UDRP nor the URS are the exclusive means of dispute resolution, as litigation may be commenced prior to, during or subsequent to a UDRP or URS[3]. [4] UDRP and URS disputes are resolved by third party providers "approved" by ICANN ("ADR Providers")[5]. In the UDRP context, a Respondent may require that the dispute be considered by either a single panelist or a three-member panel. Once constituted the panel reviews the complaint and any response, making a decision based upon filings submitted, without in-person-hearings or oral testimony. To prevail on a complaint, the Complainant must prove that (1) the domain name is identical or confusingly similar to a trademark mark in which the Complainant has rights; (2) the domain registrant has no legitimate rights or interests in the domain; ; and (3) the domain was both registered and is being used in bad faith. The complainant must demonstrate these factors by a preponderance of the evidence in a UDRP action, and by clear and convincing evidence in a URS. The URS has an internal appeals mechanism. The UDRP does not. The filing of a URS does not preclude an unsuccessful Complainant from subsequently filing a UDRP against the same Respondent. I. The Issue and Relevant Considerations Some IGOs have expressed concerns to ICANN about the requirement in the UDRP that a Complainant agree to a "Mutual Jurisdiction". The concerned IGOs have expressed the position that the requirement to select a Mutual Jurisdiction conflicts with IGO privileges and immunities under international law. The requirement that a Complainant agree to one of two defined "Mutual Jurisdictions" is a condition precedent to the filing of a UDRP complaint[6]. Mutual Jurisdiction is defined identically in both the UDRP[7] and URS[8] as follows: "Mutual Jurisdiction means a court jurisdiction at the location of either (a) the principal office of the Registrar (provided the domain-name holder has submitted in its Registration Agreement to that jurisdiction for court adjudication of disputes concerning or arising from the use of the domain name) or (b) the domain-name holder's address as shown for the registration of the domain name in Registrar's Whois database at the time the complaint is submitted to the Provider." In the course of our preliminary research, we have come across a number of instances where, notwithstanding any jurisdictional concerns, IGOs have successfully filed complaints under the UDRP. Because these cases demonstrate that there are times (even if these turn out to be exceptional) when an IGO will decide to agree to the jurisdictional requirement of the UDRP, we are seeking to better understand the nature of IGOs' concern over mandatory administrative proceedings in the context of jurisdictional immunity. Specifically, the WG is currently seeking to better understand the application and scope of the principle of immunity to IGOs; specifically, jurisdictional immunity. The WG is aware that an IGO is commonly viewed as an organization established by an international treaty and which may possess international legal personality of its own, with members that may (though not universally) consist of sovereign nation states. As such, the WG acknowledges that it is possible that IGOs can enjoy special privileges and immunities under international law under some circumstances. We seek understanding as to whether, but for the requirement to select a Mutual Jurisdiction, immunity would apply in the case of the UDRP or URS, thereby shielding the IGO from litigation arising out of or in connection with disputes over a respondent's registration of a domain name that matches or that is confusingly similar to the IGO's name or acronym. Our initial research into the topic indicates to us that there is no universal legal rule that defines a single scope of jurisdictional immunity for IGOs. Our sense is that modern public international law has evolved such that the concept of "absolute" immunity has largely given way to the more nuanced idea of "restricted" (or qualified) immunity. It would appear to us that while States generally accept the abstract concept of IGO immunity, they differ on the extent to which they will grant the immunity in particular cases[9]. Further, an increasing number of countries now consider such immunity to be functional only. Thus, while immunity may be recognized for acts inherently related to the IGO's performing its public functions, it may not be recognized for acts of a commercial nature. Many on the WG are of the opinion that trademark and domain name disputes are inherently commercial in nature such that "functional" immunity would not bar litigation. The WG is further aware that a distinction may need to be drawn between a State (or government) and an IGO, given their different natures and the diversity of types of IGOs. We are informed that the distinction may matter on issues such as the source of jurisdictional immunity - such as whether this is derived from treaty or from customary international law[10] - and in relation to specific questions such as when a particular IGO will be recognized as possessing legal personality within a particular country. As a final background matter, our WG has reached a preliminary decision that an IGO that cannot show traditional registered or common law trademark protection may nevertheless have the requisite standing to file a UDRP or URS complaint if it has opted for the protections afforded by Article 6ter of the Paris Convention. It is our understanding that the Paris Convention affords protection to IGOs to the extent recognized by national trademark laws of Convention signatories as well as members of the World Trade Organization (WTO). The WG is concerned that a potential policy recommendation that ICANN remove the existing rules pertaining to litigation and "Mutual Jurisdiction" could preempt the right to judicial access of a domain registrant/respondent who wishes to resort to formal court proceedings instead of the informal, streamlined and non-evidentiary nature of the URDP or URS. The UDRP and URS were intended as a speedy alternative to traditional litigation and were drafted as a result of a consensus-driven process, which sought to balance the rights of the respective parties. The WG believes that neither the UDRP nor the URS should be seen as a platform for altering pre-existing rights or conflicting with existing or developing principles of law. In addition, while it is well recognized that ICANN should strive to protect existing legal rights, it has no authority to create or extinguish such rights - including any rights possessed by a domain registrant to seek redress in a court of applicable jurisdiction. We would therefore greatly welcome your expertise and advice on this matter, which would assist us in fully understanding the state of public international law in regards to jurisdictional immunity for IGOs. ______________________________________ 3. Questions 1. In relation to the requirement to select a "Mutual Jurisdiction" in the UDRP or URS context, is a complaining IGO entitled to immunity in connection with judicial action brought by a domain name registrant arising from an asserted conflict between the IGO's and the domain name registrant's rights - even when the IGO has initiated the dispute under a dispute resolution process that is in addition to, and not a replacement for, the registrant's legal rights under its applicable national law? 2. Are there procedural or other mechanisms which an IGO may use to escape or avoid becoming subject to judicial action brought by a domain name registrant arising from an asserted conflict between the IGO's and the registrant's rights?[11] 3. To the best of your knowledge, how do IGOs generally handle standard commercial contractual clauses concerning submission to a particular jurisdiction or dispute resolution method? 4. Are there additional principles, nuances or other relevant information (including to your knowledge general principles of law which have been applied by States) that are relevant to our work to find a solution and conclusion on domain name disputes related to IGOs? Number of UDRPs being "targeted" by WIPO as a performance metric

Hi folks, There was an interesting article at IP-Watch last week that mentioned various performance targets set by WIPO, see: http://www.ip-watch.org/2015/10/12/wipo-reports-on-domain-name-disputes-set… In particular, there are references to the budget document at: http://www.wipo.int/edocs/mdocs/govbody/en/a_55/a_55_5_rev.pdf (see pages 62-65) I'm particularly concerned about how, on page 64, that "Effective Intellectual Property Protection in the gTLDs and the ccTLDs) is being measured using "No. of UDRP based gTLD and ccTLD cases administered by the Center". They have targets of 3,000 gTLD cases in the 2016/17 budget period, despite *never* having had so many cases in the past, see: http://www.wipo.int/amc/en/domains/casesx/all.html Year Cases ============== 2008: 2,009 2009: 1,804 2010: 2,295 2011: 2,323 2012: 2,549 2013: 2,257 2014: 2,288 2015: 1,869** (as of October 21, 2015) To me, it seems that if IP Protection is effective, one should be seeing *fewer* UDRPs, not more of them! Just like if we're measuring traffic safety, fewer traffic court cases would be a sign that drivers are obeying the law. In my opinion, this reveals a huge disconnect between WIPO and the rest of society. It seems that WIPO is displeased if the number of domain name disputes is falling or drops to zero, presumably because it cuts into their "business". Indeed, they're targeting increases in the number of cases far higher than have existed in the history of the UDRP program (2012 was the all-time high, with 2,549 cases). On page 63, they consider one of the "Major Risks" to be a "Decrease in UDRP filing", and suggest that they will mitigate that by "Increasing user-friendliness; Adjusting UDRP procedures (where ICANN-tolerated); continued Uniform Rapid Suspension (i.e.(URS)) monitoring; participating in ICANN UDRP review; more regular partnering with IP and related associations; prioritizing case administration and policy development resources to strike balance between “staying in the market” and adding specific WIPO value." This really demonstrates the risks of "forum shopping". Courts and tribunals are supposed to be neutral, and should not be actively encouraging disputes. Those that see UDRP as a "business" that has growing "performance targets" will try to influence policies and change their behaviour to increase the number of complaints, regardless of the actual incidence of bad behaviour by domain name registrants. There are some companies, for example, that are in the business of building jails, and try to influence the laws so that more and more people are incarcerated, independent of the actual level of crime in society. Indeed, if crime is falling, they need more and more non-crimes to be reclassified as "crimes" in order to keep the jails full. This appears to be the path that WIPO is taking, with its budgetary targets and statements. Ayn Rand warned about this in "Atlas Shrugged" "Well, when there aren't enough criminals one makes them. One declares so many things to be a crime that it becomes impossible for men to live without breaking laws. Who wants a nation of law-abiding citizens? What's there in that for anyone? But just pass the kind of laws that can neither be observed nor enforced or objectively interpreted – and you create a nation of law-breakers – and then you cash in on guilt. " This working group should resist the efforts of those who have an interest in increasing the number of disputes, because it helps their "business" that cashes in on "guilt." Our duty should be to look at existing laws, and not create new ones that help those whose businesses rely upon an ever-expanding definition of "crime."
