Dear All, Please find attached for final review the proposed charter for the new gTLD Auction Proceeds CCWG, both in redline and clean format. In the redline version, I’ve flagged those changes made as a result of today’s meeting in yellow. As discussed, you are requested to flag any minor edits / corrections by COB on Sunday 11 September. Following that, the timeline is as follows: · 12 September – submit proposed charter to ICANN SO/AC with the request to identify any items that would prevent adoption of the charter by 30 September at the latest, including an indication of when the SO/AC may be able to consider the charter for approval if it is confirmed by 1 October that there are no changes to the charter. · October/November – adoption of charter by SO/ACs (if no significant items are identified by SO/ACs) · December – first meeting of CCWG Best regards, Marika p.s. Best regards, Marika Notes and Actions – new gTLD Auction Proceeds DT Meeting – 9 September 2016: Objective for today’s meeting: DT to sign off on draft charter to go to SO/ACs and accompanying timeline. SO/ACs to be asked for any issues which would prevent adoption. Page 1: Important Document Links [Actions: Staff to include links to the high interest session in BA as well as the cross-community session under 'important document links' so we will include these for the final version.] Page 3: "To align with requirements..." Need to clarify geographic scope of applicability of this requirement ACTION #1: Add line reading "These requirements will apply to comparable activities across any location where applicants are located or intend to use the funds." Page 4: Questions for CCWG Pt 4 - Edit paragraph to caputure Sylvia's point regarding disconnecting issue of timeframe not being set in stone and issue of single source. Ensure (i) opening sentence is expressed elsewhere in draft charter (ii) there is a timelimit on the operation of the funds but ensure this does not artificially limit the type of activities which can be supported. Proposed language - "What aspects should be considered to define a timeframe, if any, for the funds allocation mechanism to operate as well as the disbursements of funds?" ACTION #2: (i) DT to consider Sylvia's amendment over the weekend and (ii) Staff to accept Sylvia's proposed edit and clarify the single source nature of the funds in revised draft. Add 'as well as the disbursement of funds' to the end of the sentence. Proposed timeline: · 2 September – circulation of ‘final’ version of charter · 9 September – deadline for any further edits / comments (a DT call has been scheduled to resolve any remaining issues, if needed) · 12 September – submit proposed charter to ICANN SO/AC with the request to identify any items that would prevent adoption of the charter by 30 September at the latest, including an indication of when the SO/AC may be able to consider the charter for approval if it is confirmed by 1 October that there are no changes to the charter. · October/November – adoption of charter by SO/ACs · December – first meeting of CCWG Carefully worded letter to SO/ACs to explain role of CCWG, role of DT and status of the charter - only flag substantial issues/weaknesses. Dear All Please find attached below the notes and action items from Wednesday’s meeting: Review of draft charter The Drafting Team (DT) continued the review of the latest version of the draft Charter. The outstanding items were as follows - Page 2: Problem statement (para beginning "The new gTLD auction proceeds...") should include statement saying "Funds are invested conservatively and any interests accrue to the fund." (JR comment 1) DT agreed language to remain as currently drafted. Page 3: Scope (SC Comment 2) DT agrees to remain with "not inconsistent" terminology but Chair to ensure that drafting is internally consistent and English used is as simple and plain as possible. (MK Comment 4) DT determined that this section should revert to previously prepared wording which responds to the specific issue of lobbying restrictions in the US, whilst recognising global differences. [ACTION: SE to prepare revised language to deal with this issue] Page 4: (pt 2.) DT agree to delete portion of additional comment reading "to avoid...the domain name market". (SC Comment 6) Proposal to replace "and termination of" and replace with " effective use of the funds under" . However, not finalised agreement amongst DT. [ACTION: EM to provide proposed redraft of this point to incorporate DT views] (SC Comment 7) DT agrees to after "delegate to" insert "or coordinate with" (pt. 11) [ACTION: SE to provide some language from Board's previous comments to define this point more clearly for the CCWG] (pt. 12) DT agrees to after "the Organisation" insert "or a constituent part thereof" Page 5 (SC Comment 9) DT agreed to replace "interest" with word "motiviation" Page 6 (MK Comment 10) Insert "and/or otherwise funded by or affiliate with and/or support/endorse". Also add "it will be mandatory to report any changes in relation to these intentions". (SC Comment 11) DT agrees as currently drafted. Page 10 (Section entitled "Board consideration") DT notes revision suggested by Staff/Board. Timetable and subsequent actions The DT then addressed the issue of the timetable for completing the changes agreed upon in the meeting and any subsequent actions to be undertake. · Modifications and actions assigned are to be completed by Friday 2 September 2016. Thereafter Chartering Organisations to be asked for any issues which could impede their adoption of the draft charter. · Chartering organisations requested to respond by 1 October 2016. ACTIONS: (i) Staff to issue doodle poll on possibilities for meeting one-hour meeting on 7/8/9 September 2016 to finalise Draft Charter and (ii) Staff to circulate outline of timetable to DT via email. Dear All, Please find below the proposed agenda for the next new gTLD Auction Proceeds DT meeting which has been scheduled for Wednesday 31 August at 19.30 UTC. Note, you will find attached two versions of the draft charter. One version includes all comments & edits made to date (note, in this version, some of Sylvia’s suggestions that were deemed non-controversial have already been incorporated) and one version in which all non-controversial comments and/or edits have been removed/accepted so that only those items that need DT input / review are remaining (note, most changes are still visible in redline). The items requiring DT review are highlighted in yellow in both versions. To facilitate the review and discussion during tomorrow’s meeting, the focus will be on the second version and more specifically the items highlighted in yellow. Dear Auction Proceeds Drafting Team, Following our last Drafting Team call, Erika and I in our work as Board Liaisons to the DT committed to getting language to clarify the status of the auction proceeds, their management, and investment status. As Co-Chair of the Board Finance Committee (BFC), I am sending the language below drafted together with ICANN Chief Financial Officer (CFO), Xavier Calvez, in reply to this request: ³The auction proceeds collected prior to the .WEB auction are held in a dedicated investment account with an investment manager that also manages the new gTLD program currently unused application fees, but in a separate account. The .WEB auction proceeds are currently held in a separate/dedicated bank account, until they are invested. Our usual practice for all investments held (Reserve Fund, and new gTLD investments, auction proceeds investments) has been that any gain (or loss) affects the capital, and therefore any return is immediately reinvested and becomes part of the capital. The funds invested are managed as per investment policies approved by the Board. The funds included in the Reserve Fund are managed as per ICANN¹s Investment Policy and the new gTLD related funds (application fees and auction proceeds) are managed by the New gTLD Investment Policy (both are available on ICANN.org <http://icann.org/> : https://www.icann.org/resources/pages/general-2014-01-06-en) <https://www.icann.org/resources/pages/general-2014-01-06-en)> . Both policies are conservative, but the New gTLD policy is even more conservative since the funds are held temporarily, with a short to mid-term investment horizon. On this basis, and considering the current level of interest rates across the world (close to 0, or negative in a few countries), the returns on these funds are very low as well.² I trust this is useful, however, if you do have any questions, please let us know.
