Thanks Marika. It will be great to have a bit of information about the session, in a condensed form to be able to work through it. My connection here is not that good to be able to follow the webcast or stream video -sorry–. Glad to know people agree that the CCWG should not be part of the disbursement process. It seems that it was not that clear for those that make the remarks though. I also agree with the need to define a finite time for the CCWG to work, and I hope we can add that to our future discussions. Thanks Marika for sharing the slides and the latest draft of the charter. Best of luck to Jonathan and all present there to share the work so far at the cross-community session. I am looking forward to know how the meeting went, and what contributions/questions from the floor can be incorporated to the process so that the charter can be finalized soon. I like very much the progress done on the text regarding expert advice. Fully support that. Only small detail there is that it will be important to mention there that expert advisors should also disclose any conflict of interest. I am very sorry about my lack of participation to the last 2 meetings or to share comments before, but I really have to express my concern about 2 important issues that were changed during your discussions over the last 2 meetings that I do not agree with, which were already discussed in previous meetings. I have argued to support both issues below in all the previous meetings I was able to attend, as well as documents shared with the mailing list. * I do not agree with the use of the words “non inconsistent” when referring to ICANN’s mission. Fund allocations must be in line with ICANN’s mission as that is key not only to preserve the tax status, but also to support communities that can hardly access other sources of funding (like traditional donors) as they do not understand the nature of the technical challenges those projects or organizations are trying to solve/address. For example, it is very hard for organization maintaining root-servers, IXPs, developing standards (just as an example) to apply for traditional funding. The auction proceeds provide a unique opportunity to support the stability of the Internet not only at the infrastructure level. Projects/organizations applying for funds should be able to articulate how their proposal is actually in line with ICANN’s mission. The previous word in use was “furtherance”, which was already wide enough. By changing it to “non consistent” the text has an even weaker approach to support ICANN’s mission. * The text about diversity was modified, and the mention to the 3 communities that ICANN serves was removed. I do not support that change. It is very important that the diversity focus also applies to the communities ICANN serves. Also, just wanted to point out, that as we are pushing so hard for disclosure of conflict of interest, it will be important to have all our SOI updated on the DT wiki, just to be consistent with what we are talking about. There are a few there hat are missing. Dear All Please find below the notes and outcomes from yesterday’s DT meeting: 2. Review latest version of the charter Notes: Document prepared today will be placed before community in Helsinki and then, following review of the comments received and possible updates, submitted to the Chartering Organisations for their consideration. Section 2: Problem statement Wording modified to reflect the views of community on empowering CCWG. Does not have material effect. Section 2: Scope Bullet 4, not expected that conflicts of interest will be avoided but rather dealt with appropriately such as stating potential interests upfront. There is a necessity to recognise that conflicts of interest are normal but will require to be dealt with differently, as applicable, between participation in the CCWG and funds dispersal stages in recognition of this. Finalised proposed text- "Take all appropriate measures to deal with conflicts of interest which includes disclosure as part of CCWG process as well as avoiding conflicts at subsequent stages" Bullet 5 and Bullet 1 (Constraints) Insert the term "not inconsistent" to mirror previous language. Bullet 5 (Constraints) unusually high standards on conflict of interest should apply to this work but this should be placed before the Community for discussion in Helsinki. This should be flagged as a unique and unusual feature of this charter by virtue of the large amount of funds involved. Language to be inserted "...which will include certain mandatory disclosures specified by the DT." This is an item the DT will flag for discussion in Helsinki and return to after the Helsinki meeting. Page 5, bullet 1 reword as "Have sufficient interest (and ideally expertise)..." 3. Preparation for cross-community session in Helsinki Notes: Slide deck should contain the following: *specific inputs which the DT seeks from the Community; and *process/progress/where next slide. 4. Dissolution: "CCWG Chairs" seems correct. The wording we have is fine. Wording on the result of the request is addressed in the next sentence. No change necessary. Expert Advisors: Re: Sylvia's comment -- Key that the CCWG does seek advice. · Potential issue: If such advice comes at a price and there is push back from the Board. Dear All Please see below the notes/action points from today’s call: 2 Principles derived from review of public comments • Review draft text on ‘diversity’ for inclusion in the charter (utilising references to existing ICANN documents and bylaws) Notes on Principles: Discussion of whether principles should be woven into Draft Charter or comprise a stand-alone portion of the document. Determined to adopt both approaches by ensuring principles to be stated early in the charter and then reiterated as appropriate throughout the Draft Charter. Actions: (1) Insert principles early on in the Charter Document as possible (Staff); (2) Review Charter to ensure it is consistent with the principles as appropriate (EM & RM). Notes on Diversity: Considered during walk through of document at item 4. 3 Briefing note on fiduciary and legal constraint • Update from Sam on modifications to briefing note based on DT input • EM to revert on (a) advice from board colleagues or external advisors on what constraints (audit or tax) on the use of proceeds might be or (b) to what extent does ICANN's mission constrain the use of funds] Notes: Item held over until completion of review of draft charter – DT members encouraged to review updated memo circulated by Sam and communicate any questions / comments on the mailing list. 4 Review revised draft charter (see latest version attached as circulated earlier today by Erika) Notes: Goals & Objectives - Sentence relared to "scope of fund allocation" requires to be reworked. Needs to link more closely to section on 'Scope' below. Scope - Should include reference to Memo from ICANN Legal which should be embedded as a link within the draft Charter. Issue of diversity two bullets: (1) focus on two components (i) utilisation of funds and (ii) composition of CCWG (to be incorporated as a principle in the guiding principles section). (2) CCWG should be specifically asked to consider whether or not under-represented groups should be preferred in the process (this item to be moved to section below, CCWG recommendations for consideration). CCWG requirements: Insert second bullet framed as a question, probably something like: 'should any priority or preference be given to organizations from developing economies and under represented groups? Partitioning funds: Aim being to ensure appropriate segmentation. Insert some form of words as an additional CCWG recommendation to give appropriate consideration to the communities which ICANN serves without prejuding the mechanics or outcomes the CCWG would reach. Additional recommendation, determination on whether the solicitation, evaluation and allocation of funds is to be undertaken by ICANN itself or delegated to a third-party entity such as a foundation. Section III: Needs to be consistent with Section V. Section IV: (1) May be appropriate to define what "applicable subject" means. Could include a non-exhaustive list of examples, i.e. working for a charitable foundation on the dispersal of funds. (Action: AH to revise) (2) "Those yet to be connected", (Action: Add [ ] around text from "and" to "connected", Group to consider but AH and SC to give particular consideration) (3) Need to be clear that detailing of attributes and diversity of CCWG member selection is for consideration by Chartering Organisations and that the selection is for those organisations to make e.g. "give consideration to...". Outreach and promotion: Intention to publicise beyond usual channels i.e. ICANN website. Could be undertaken by staff in collaboration with community. (Action: Group requires to consider this item further) Action: Staff to make further edit to document adopting non-controversial edits and noting areas where further consideration is required by preparing further iteration of document and circulate to DT for review. 5 Confirm schedule going forward: 9 June no meeting, 16 June 13.00 UTC (90 or 120 minutes), 23 June 21.00 UTC (if required) Notes: Both meetings will be required. Thanks Marika for the document and the information below. Please find attached the draft, were I added by comments to those of Alan, Jonathan and Erika (as the file name shows). I did not approve of delete any of their comments, so hope this facilitates the final editing process. I hope that this file can be used for the discussion during the conference call. Asha and I have worked through our different interpretations of the diversity principles. I think we will be able to share a final contribution before the conference call. I just sent my final comments to her, so if she agrees, I hope she can share the text with the group. I would like to emphasize that it will be important that the guiding principles are included, as part of the charter, as they are the ones providing the framework for the discussions. Principles derived from review of public comments o Finalise principles and discuss how these are to be incorporated in the draft charter * DT to determine whether there are any other principles that need to be added and discuss how these need to be translated into the charter or whether these should be annexed. * Transparency, openness and accountability are already implied by some of the requirements in the charter * Conflict of interest needs to be addressed in the charter * Lean & effective - need to see how that is addressed in the charter. This relates to the process for disbursement, not necessarily the CCWG process. * Asha and Sylvia working on possible diversity clause - hope to provide that in time for the next working. Diversity relates both to members/observers of the CCWG as well as diversity of applicants for funding. * If all these princples relate to the end product of the CCWG, then these should be incorporated specifically. DT agrees that these are principles that need to apply to the final disbursement process and as such need to be specifically called out. * Erika will talk to Xavier about financial and audit procedures that may apply to the possible disbursement process * ICANN53 Principles: Broad, open and inclusive dialogue any discussions need to be open and transparent, and allow for broad participation, listening to the views of all; Conflicts of Interest there is a need to consider conflicts of interest before work can begin; Lean process any process must be lean and cost-effective so as not to diminish funds; Separation of idea suggestion and idea selection it is important to start by sharing and brainstorming ideas prior to any structured work; Measured pace principles and strategy should be examined first before further considerations. Process should not be rushed; ICANN¹s Mission and Mandate must keep in mind that proceeds are to be used in support of ICANN¹s mission and mandate. * Not clear yet whether ICANN would disbursements on whether another entity would be assigned to do so - as such, may not be necessary to worry to much about disbursement at this stage as it may depend on the mechanism that is agreed to by the CCWG Action item #1: Review notes from ICANN53 to determine whether there were any other principles that should be added. Briefing note on fiduciary and legal constraint: o Update from Sam on modifications to briefing note based on DT input * Work on the update has been slightly delayed due to the work on the revised ICANN Bylaws. Should be available ahead of the next meeting. Might be problematic as it is a key section of the charter. Any heads up ahead of the meeting in Helsinki would be helpful as this may be an item on which specific input is requested from the community. Legal advice is also key in this regard. * Draft charter should facilitate flagging of items that may need further discussion and/or input, either by the DT or as part of the community discussions in Helsinki. Action item #5: Erika to work with the Board to get input ahead of the ICANN meeting in Helsinki to at least get a sense of direction. 4. Review draft charter which has been developed based on deliberations an input received to date * Problem statement: no comments * Goals & objectives: no comments * Scope: first bullet is very prescriptive, if responsibility delegated wouldn't contract spell out the requirements for compliance and audit? Consider making separate half a separate bullet. May depend on the structure, so principle should be here to guide the process regardless of which structure is chosen in the end. Disbursement by ICANN, whether it is to entity like fund or foundation, or individuals disbursement, ICANN will have certain responsibilities in relation to this disbursement. If it is through a fund or foundation, further consideration would need to be given to how certain requirements are passed through. Need to think of correct wording in the charter as the current wording may imply something that wasn't specifically intended. * Bullet #2 - change to must continue to observe the limitations to preserve tax status, seek input when necessary * Bullet #3 - consider changing should to must. Also make clear that this is not only limited to the US. * Bullet #5 - do we want to set limits on how much overhead can be added? May be possible to set max 5% limit or follow the lean principle and let it up to the CCWG to determine what that means? In the latter case, consider referring to industry best practices. Putting in absolute number is not responsibility of DT but for CCWG. Consider including a note to balance the amount of fees to maintain the recommendations as part of how they evaluate making those, factoring in industry sectors. Due dillgence needed to assess industry best practices. Overhead will be different depending on the due diligence review, monitoring, audits, etc. Depends as well on how disbursement is done. Needs careful consideration. 5. Helsinki meeting planning Cross-Community Session Tuesday 28 June from 15.15 to 16.45 6.
