Hi Terri and Nacho: I hope you’ve arrived safely in Dublin. Regarding the posting of materials for the Board Readiness briefing, I have attached: 1. a draft slide deck for posting. There might be minor edits. It is long but only to provide the first time audience (since this is an ICANN meeting) with background 2. the PDF of the Report. Please use this version as I found another three typos (one misspelling and two formatting goofs). Hi Everyone: I hope everyone is doing well. Rumour has it (think Adele) that we will have 45 minutes to present and discuss our Recommendations in the Council Working Session in Dublin. Let me know what you think of this agenda. While I think the agenda speaks for itself: 1. The first item is intended to inspire the Council to read the report and conserve time for other items. 2. The second item is intended to provide clarifications and fill in the blanks where the report is not clear. (I’ve re-written one section that was screaming for clarity.) 3. The third item is intended to maintain momentum and implement some changes and improvements. I’m largely through preparation of a slide deck. I’d especially appreciate advice on the last agenda item. How can we set up an implementation discussion to encourage timely adoption and implementation of recommendations? Thanks everyone - agenda below: Kurt AGENDA Board Readiness Report I. Take questions on Methodology & Findings (10-15%) We’ve reviewed the Methodology in earlier sessions. Much of the material in the Findings will be restated in the Recommendations (although the language in the Findings is somewhat blunter and more straightforward). We ask the Council members to read and prepare questions in advance. II. Review of Recommendations (55-65%) The team developed six sets of Recommendations. We’ll briefly review each and stop for questions after each. We think the most meaningful Recommendations are toward the front, so it will be ok to spend more time on them. III. Implementation Planning (25-30%) Discuss areas that the Council might pursue to achieve timely implementation. These might include: a. A briefing for the Board as they have certain responsibilities b. An effort to revise existing procedures and Guidelines c. Building a revised PDP timeline, including resource requirements d. Staffing the effort to accomplishing the above – this might be GNSO only, GNSO and staff, or GNSO, staff and Board e. Set a completion target

Hi John: Do you have a Word version of the report for editing. I have no substance to add but some slight re-organisation would aid in reader understanding. I am particularly thinking of the recommendation 4.2 where there are several recommendations that could be organised/ordered/categorised in a better way. The idea came to mind when I was creating the slide deck describing the paper. I think it’d be okay to re-issue a slightly revised paper without changing any of the substance. It’s say, less than 2 minutes per recommendation, many of which have multiple detailed recommendations. I also think an important discussion of next steps also must occur. We could suggest as an alternative - that we be given a block of time during the Council working session Sunday of the Dublin meeting. I think it is a good set-up for a meaningful discussion. I’d like to hear what you think - we only have a couple days prior to the next Council meeting. Hi Everyone: I spoke to John and committed to sending him a revised set of docs to set up a google doc. I thought I’d give you a preview in case you want to do some weekend reading. The docs attached include the Management Summary (no changes made), the Findings, and the Recommendations. The latter two are in redline that reflects only the latest changes. I also edited the online version of the “Methodology’ section<https://docs.google.com/document/d/1l8Eb9frc8A7sw-_zKyLVkoepyABLPLME7EKIYcy…>. I’ve spoken to Susan and Thomas and traded emails with Justine to understand their changes and the discussion during the meeting I missed last week. The changes include: 1. In the Methodology section, the addition of a clarification sections that includes * Clarification that recommendations are not commands, just recommendations * That PDP teams = PDP WGs = PDPs * That when we say rejections, we just really mean non-adoption * There is some inside baseball here - just google it if you need to enhance your knowledge 2. In the Findings, I pulled Justines edits from the online version 3. In the recommendations, I added: * The suggestions that we might consider splitting very broadly chartered PDPs * That ODPs are not favoured as a rule, we prefer the just-right amount of operational evaluation * The Board’s fiduciary duties include more than avoiding a budget bust; they must also include assessing legal risks and implementability, and operating in a prudent way * Considering training I hope I picked up your input. Board Readiness recommendations ver 2

Hi Team: I’ve made edits to the Recommendations, mostly for clarity. However, I (figuratively) tore up and rewrote the section on team composition. I took onboard the suggestions to explicitly discuss needed expertise, both on the team and in the chair. I also remained neutral on the open vs representative model. I don’t feel that we have a sense of the causal connection between team composition and Board readiness. As with the Findings, I downloaded the doc and made edits in Word. I have attached redline and clean version. For our meeting Tuesday, let’s review the docs in this format. I plan to scroll through them unless you have a better idea (to which I am completely open). Let me know if you think a review of clean or redline versions would be more helpful. Read them beforehand if you can. This is probably our last meeting as a group prior to publication. If someone see a reason to delay publication for the September meeting, now is the time to raise that concern. I think there can be valid reasons so if you see one, it will no doubt be helpful to the quality of our product. I will try to put together a management summary prior to our meeting. Welp, our work took somewhat of a negative turn after the first set of interviews. What was, when talking about registrations data: "Board rejection and the subsequent, constructive back and forth discussion with the community is a sign of a healthy organisation,” became, when talking about SubPro: "he Board approach, in particular with the obsessive need to have absolute discretion to make final decisions over everything, ... erodes the Multi-stakeholder Model.” I think the new docs probably reflect that turn. There are three docs: The Findings notes, which are interview statements attributed to the interviewee: not for publication, but for our reference. The added material is in red font. Board readiness - next steps

Hello Board Readinessers: Two things: 1) I am in the process of updating the Findings and Recommendations documents and will keep you informed as to progress. One of the lessons learned from the earlier version is that the Recommendations have to be more nuanced / balanced and provide some rationale. So, hopefully, they will look more like an early draft of the report for your review. 2) For our discussion. we should consider our role in creating the report. Are we in the limited role of translating the interview results into recommendations? Or are we permitted to (or are we obliged to) add some our own perspective? I am for the latter, we should not ignore the expertise in the room, although it must be done carefully, with great deference paid to the interview answers. The issue is further complicated by the fact that attendance at the interviews was sporadic, so if one is to add her/his own views, it can only be done after reviewing the interview results. Is it sufficient to review the Findings documents, or does it require readings of the interview notes (which is a considerable task? So this is a nuanced discussion. We can start in email if you can but we this should be on a meeting agenda. 3) (Three things). Please think about times when you will be available to meet. We should meet the weeks of August 18th and 25th to discuss the question above and report formulation. Finally) (Four things). I think the report should be skinny where possible. I don’t think we should publish the interview notes (to avoid community members finding fault with their opinions) and am up in the air about in what detail the questions should be published. I think the methodology description should be brief. We should probably get back to each interviewee and ask permission to publish their name. Anyway, another item for discussion. LEA disclosure requests at the global level

Dear Caitlin and Terri, all, Following up on our discussion in Prague Let me summarize how I think we can frame and advance the discussion in preparation for the August meeting. ICANN and the issue of handling LEA disclosure requests at the global level. When it comes to processing disclosure requests from law enforcement authorities (LEAs) there still seems to be a lot of confusion and different expectations by different parts of the ICANN community with respect to process and outcome. The topic was discussed in the EPDP, in related IRT (currently with respect to urgent requests) and in the RDRS Standing Committee. The issue is also relevant to work on DNS Abuse. The two main areas of concern seem to be: 1. Authentication (and accreditation) of LEAs. 2. How can Contracted Parties interact with LEAs? Some say CPs are required to disclose if an LEA and should ideally automate the process. Others say that – once authenticated – LEA requests still need to be duly substantiated and a disclosure will only occur if so possible in a legally compliant manner after a legal assessment. Whilst the community spent considerable time discussing LEA interaction, a structured analysis of the legal implications in particular and work on solutions has never occurred. However, both questions need to be answered in order for the interactions between CPs and LEAs to work. Even if there were a mechanism for authenticating LEAs (which does not currently exist), a distinction needs to be made between various scenarios. These are: 1. CP and LEA are both in the same jurisdiction 2. CP and LEA are in different jurisdiction, but a legal framework exists (e.g. a mutual legal assistance treaty) 3. CP and LEA are in different jurisdictions, but no international agreement exists. Depending on the case in question * a CP might be legally required to disclose if a legal basis exists and legal requirements are met, * a CP might have the option to disclose, * an LEA might need to work with the LEA in the jurisdiction where the CP is established, or * a disclosure might not be possible. So far, our discussion does not seem to have that level of nuance, but it appears that it not possible to use an approach that works at the global level. The risk for ICANN and its community ICANN can produce policies that are binding for the CPs. However, in order for LEA interaction to work at the global level, measures need to be taken by LEAs and governments, but these cannot be obliged by ICANN to act. Not only does the ICANN community need LEA’s / governments’ support with an authentication regime for LEAs, but it may also be the case that the legal instruments that currently exist do not allow for an efficient collaboration between LEAs and CPs at the global level. If this issue is not flagged and worked on, we as the GNSO Council, will allow for a perception within and outside our community to be solidified that the GNSO and ICANN is not able to come to workable solutions to this issue, that the multistakeholder approach is now effective and that CPs are not willing to cooperate with LEAs. A constructive way forward The GNSO Council should take the initiative and invite the GAC / PSWG and the ICANN Board to a meeting or a series of meetings to flag the issue and manage expectations. If other fora should be used or the discussion should be triggered differently, we should discuss these. We should highlight that ICANN cannot task third-parties, but that third-party support is needed. We should emphasize that ICANN and its community will continue to work on framework and technical solution that can facilitate the match-making between LEAs and CPs, but that we need to base this on a thorough analysis of the legal implications for CPs and ICANN taking into account the risks of unlawful disclosure for registrants. The amendments I am suggesting here, apply to the first question about “surprise.” Under the initial brand question, I ask the interviewee to consider if s/he was surprised about pended or rejected recommendations for different “categories” of rejection: cost, Bylaw violation, need to consult with the GAC, wording clarification. We have scheduled the upcoming Board Readiness Small Team meeting for Monday, 2 June 2025 at 12:30 UTC. The proposed agenda is as follows: 1. Welcome 2. Timeline * Interview schedule * Report compilation 1. Discussion of findings 2. Council update Attached is a rough timeline that staff has compiled to optimistically aim to present the findings and recommendations to the GNSO Council on its 14 August meeting. There are a number of interviews to complete for SubPro prior to the report and recommendation completion. Given ICANN83 and subsequent summer holidays, scheduling may be tricky. (Obviously it will be dependent on interviewee schedules and the availability of Small Team members and staff). Hi Everyone (Small Team and Support Team): We are at a bit of an inflection point as we transition to interviews with the SubPro team. We thought it’d be a good idea to pause, see where we are, and decide if any changes are required. As you, I am anxious to move ahead and get done. With that in mind, I have attached three docs for our discussion as they might provide direction in how we conduct the next round of interviews. (I ask that you keep these docs confidential, from your co-workers and others in the ICANN community. I think making preliminary findings public will poison or influence the next round of interviews): 1. A n interview summary (Finding Notes), where I have grouped the feedback into a few, general headings. * This document is NOT intended for publication. Rather, it is a tool to create the next two docs that are intended for publication and also identify the attribution of the different findings that we make. * I created it by reviewing the posted interview notes (including the interviews with Board members but not including Susan’s SubPro interview) * Please review for completeness, Did I miss any interviews or important points? (You can use your memory for this review rather than digging out the docs. Our collective memories should suffice. As a complete review.) * Do the headings look ok? 2. A set of FINDINGS that is intended to inform the reader of our interview results and support our Recommendation * It is a slight reorganisation and rewording of the first document. * Please review the opening paragraph, it needs work. * Your review of the first doc should cover this one too. 3. A set of RECOMMENDATIONS based on the Findings. * They are Recommendation only, not with justification or defence — that is provided in the Findings. * The Recommendations are not grouped by headings, so it make the choice of grouping less important. * There were findings that did not result in Recommendations but I thought the audience should read thise Findings also as they are educational. * Do we have any others? Any with which you disagree? These last two docs would be chapters in our report, surrounding by sections on the purpose and methodology of the study, etc. After getting feedback on the docs, we will discuss changes to questions and methodology if any. Hi Kurt and Small Team Members: We have a few updates for you. Re: EPDP Interview Statuses: * Thank you for updating Avri and Chris's notes. The Google docs have been sent to them individually, and they have been asked to provide edits by Friday, if possible. * Despite several attempts, we haven't received a response from Brian King, so we propose to close out this interview attempt unless anyone objects. * There is one remaining interview for EPDP P1 and P2, and that is with a panel of ICANN staff that supported either one or both phases. This is scheduled for next Tuesday at 16:00 UTC. I don't believe the small team has prepared specific questions for staff, so this may be worth thinking about beforehand. (I'm sure staff would also appreciate some draft questions in advance. Hi Board-readinessers: [[I HIT SEND MONDAY MORNING IN AUSTRALIA} I am not sure when you will receive this email. We are currently without power and Wifi. It is Sunday here, Saturday in the US. I’ll be sending these along shortly: 1. Revised notes from the Amr, Chris and Alan interviews. Please review them. Staff might send them out to the interviewees after waiting a few days. * I haven’t reviewed the notes from Alan yet and do not have them downloaded to my laptop. I’ll turn them around as soon as I get online. * The revised notes from Amr are below the notes that Jennifer delivered. * The revised notes from Chris are in place of the notes Justine delivered. I started editing those notes directly before I realised I hadn’t downloaded them. Sorry Justine. 2. I have revised the questions some in prep for the SubPro interviews. Hi Kurt and all, Thank you for the idea. Staff was wondering if, instead of going directly to SubPro interviews, it might be preferable to finish up all interviews for EPDP Phase 1 and 2 and assess if this approach is the preferred way to continue before starting on a different PDP? If everyone thinks we should continue down the path we are on, we will support that. We thought, though, that an analysis of the results of Phase 1 and 2 would be valuable in possibly rethinking the approach (if necessary) to SubPro. Susan, the only homework is to spend ten minutes scanning the Pended/Rejected items to select a few items you want to talk about. The rest of the group might pick one each that they think is important. There are two reasons for my suggestion: 1. This is a complex area and I expect sort of a ‘fail’ in the first interview.
