In the absence of an answer from Garth, let me take a stab at this. First, what are the regulations/rules covering resellers. First, for those not familiar with the term, a registrar who uses resellers is essentially a wholesaler, and the resellers are the "retail" entity that sells to the public. There are some registrars who do all of their business through resellers (although they may have a subsidiary or sister company that acts as a reseller), and other registrars do not use resellers at all and deal directly with the end-customers. Of course, domains are not actually "sold", but since we are discussing the entities referred to as resellers, let's continue to use the term sell for the transaction when a domain is registered. Prior to the recently approved RAA amendments, there were no explicit rules governing resellers. The RAA amendments only apply at contract renewal time (although there is a financial incentive for registrars to accept them prior to their renewal date, which could be as much as 5 years away), so for many registrars, the old rules still apply. Old Rules: If a registrar AAA has a reseller BBB, there are no words in any contract with ICANN regarding what BBB can or cannot do. However, when a domain is sold by BBB, it is a transaction that was being carried out on behalf of AAA and AAA is fully responsible for ensuring that all terms in their contract with ICANN (the Registrar Accreditation Agreement - RAA) are being satisfied. If you look at the WHOIS data for such a domain, AAA is the registrar of record. Since ICANN does not know whether a reseller is involved or who that reseller is, it is completely up to the AAA to ensure compliance with rules regarding interactions with the registrant. New Rules: Under the amended RAA, there are a number of EXPLICIT responsibilities that say what resellers can do in specific circumstances. In my mind (and I am NOT a lawyer), this does not really change the legal situation. ICANN still has a contract only with AAA and still has no knowledge of BBB's existence. But it does make it somewhat clearer that AAA's responsibilities are being passed on to BBB. On the question of why would a registrar use a reseller, that is simply a matter of the registrar's business model. Some registrars (eNom and Tucows are probably the largest examples) simply choose to only deal with resellers and not sell domains one-by-one. Others, such as Go-Daddy do a significant part of their business directly with registrants. Resellers themselves also may have a variety of business models. Some may just sell domains. Others may be primarily web hosting companies that want the ability to offer domains along with a hosting service. It is not really different from the range of ways that milk is sold - you can go to Wal-mart, or to a local convenience store. When Resellers ARE Registrars

Hello all, To follow up on the discussion from today's call I'd like to provide an example of a so-called reseller that is likely a Registrar. The company's name is "Acquire This Name, INC." I think it is critical to discuss this because we are trying to develop policy that protects consumers and this is one of many cases where full information is not being presented to the consumer. It is doubly important because the company in question deals in after-market expired domains. The ordinary domain buyer would not know from the Acquire This Name, INC. website with whom they were really doing business with. This is just one of many cases we are working on. Fast-Track of Elections

Hi all, There was some confusion last week as to the timing that we would use for the up-coming elections. This was discussed on today’s conference call and it was decided that we would have a two week nomination period for all elections, starting today and ending midnight Aug. 23. On the following week, we will hold on-line elections. Just to remind everybody, the positions we are talking about are: 1. ALAC member – two year term 2. Chair – 1 year term 3. Secretariat – 1 year term 4. Nom Com Delegate – 2 year term If anybody would like to volunteer/nominate someone to any of these positions, please post on-line. If anybody is interested in the Nom Com position, they should send in their qualifications for the position as well. So far, we have one nomination for Gareth Shearman for ALAC and one for Evan for Chair. I will stand for Secretariat only so long as nobody else wants the position. New blood is always sought! Voting members of the NomCom are appointed for a one year term, and may be re-appointed for a further term of one year subject to the requirement under the ICANN By Laws that a voting member may only serve a maximum of two consecutive years. Individuals representing ALAC who served on the 2009 Nominating Committee are listed below. Those individuals who have now completed two consecutive terms and may not be reappointed are marked with an asterisk * Khaled Koubaa (Africa)* Hong Xue (Asia, Australasia and Pacific) Matias Altamira Gigena (Latin America and Caribbean)* Desiree Miloshevic (Europe)* Ross Rader (North America)* ICANN's Nominating Committee has historically held two face-to-face meetings each year. For the 2009 Nominating Committee, we were able to have the first such meeting after ICANN's Annual General Meeting in Cairo. According to the Chair of the NomCom, accelerating the schedule of the first meeting compared to previous years was really enormously helpful in allowing the Committee to function in an orderly and effective manner. TIMELINE At its 4th August 2009 Meeting, the ALAC defined the following timeline for filling these appointments: * Nominations Open (in each RALO): 5th August * Nominations Close (in each RALO): on or before 25th August * Nomination Acceptance Deadline: on or before 1st September * RALOs to transmit all accepted nominations, with a recommendation of a preferred candidate if the RALO wishes to provide one: on or before 1st September * ALAC Voting Begins: 7th September * ALAC Voting Ends: 14th September * Notification to NomCom of Appointees: 15th September QUALIFICATIONS: Article VII, Section 4 of the Bylaws states that Delegates to the ICANN Nominating Committee shall be: * Accomplished persons of integrity, objectivity, and intelligence, with reputations for sound judgment and open minds, and with experience and competence with collegial large group decision-making * Persons with wide contacts, broad experience in the Internet community, and a commitment to the success of ICANN; * Persons whom the selecting body is confident will consult widely and accept input in carrying out their responsibilities; * Persons who are neutral and objective, without any fixed personal commitments to particular individuals, organizations, or commercial objectives in carrying out their Nominating Committee responsibilities; * Persons with an understanding of ICANN's mission and the potential impact of ICANN's activities on the broader Internet community who are willing to serve as volunteers, without compensation other than the reimbursement of certain expenses; and * Persons who are able to work and communicate in written and spoken English. Nom Com members are expected to: * engage in affirmative outreach and recruitment of excellent candidates * read the submitted and gathered information about each candidate under consideration * participate in Nom Com teleconferences * work diligently with Nom Com colleagues toward an overall consensus on the best possible group of candidates to be selected * adhere to the Code of Ethics - each Member undertakes a written obligation to this effect. The code of ethics may be found at http://nomcom.icann.org/ethics-2009.html. * attend a face-to-face meeting. The nominating committee typically holds two meetings, one soon after the committee is formed, and usually held concurrent with an ICANN meeting, and meeting later in the year when the committee makes its selections. * Given the recruitment nature of Nom Com's work, it will be particularly helpful if members have extensive personal networks of contacts from outside, and within ICANN, that will support effective recruiting. Furthermore it will be valuable for such delegates to also be prepared to develop cross-constituency understanding to build consensus. Successful appointees from the ALAC must be willing to attend the first face-to-face Nominating Committee meeting. This meeting is expected to occur in Seoul during 31 October - 1 November 2009. Nom Com Delegates are welcome to attend the entire ICANN meeting also during 25 - 30 October, but hotel costs and expenses for the non-Nom Com portion of the meeting would be at the expense of the individual.
