CCWG will provide any input on possible responses by Friday, 3 Aug 2018 COB. Leadership team and staff will draft a summary of where we stand, once input has been received. Action item #2: CCWG to review draft questions for ICANN org input, Board input, and external consultant Sarah Berg input by Monday, 30 July at 14:00 UTC. Discussion of next steps on outstanding questions (see https://docs.google.com/document/d/1LYlv616IkOjK0lxCQpQ1x7XbUQoi3tch2sZ0E9G…) * last call we discussed a possible approach to deal with the outstanding questions * A subgroup was created. Brief overview provided by Emily Barabas from staff on the work done and what the next steps are. * Additional expertise and input needed on some of the questions, e.g. gaps on input received from experts, questions that arose from Sarah Berg's input. Subgroup verified on whom is best placed to answer these questions. Different questions have been breaked down based on who can provide input. * Suggested is a step-by-step approach. Proposal to look at 3 initial chunks of questions: * 1. Questions for the CCWG; * 2. Questions for ICANN Org (Legal/Finance/ICANN Board); * 3. Questions where External expertise is required. Those will be first presented to Sarah Berg, and once her feedback has been submitted they might go to outside legal counsel or other external experts. * Regarding the topic of regulations & laws impacting sanctions. Sam Eisner (ICANN Org) has a conflict for this call, but is happy to speak to this in the next call Questions for the CCWG to answer will be addressed during today's call., or latest by mid next week. First 4 questions. 1/ What are we aiming at? Single mechanism to recommend in the initial report? Or a ranking of the different mechanisms? A list of pros and cons? * The CCWG seems to prefer the ranking option, but concerns are raised regarding the 4th mechanism, which some prefer to move to the side. * Concern that the CCWG does not provide a clear path forward, but leaves too many different options open when publishing the Draft Initial Report. * Should the 4th mechanism be removed in the list of mechanisms? If so, it would make our work a bit lighter. We could also keep it in the ranking, but in the last position. This decision will help us target the next steps. 2/ is additional work needed on the CCWG in defining goals and objectives the fund should support? * Quite some work has been done already: the preamble, the list of examples, the Preliminary Agreement B on high-level objectives to the Group (https://community.icann.org/display/CWGONGAP/Charter+Question+Templates Action item #1: CCWG to review section A “Questions for the CCWG to answer” of the document available at https://docs.google.com/document/d/1LYlv616IkOjK0lxCQpQ1x7XbUQoi3tch2sZ0E9G…. CCWG will provide any input on possible responses by Friday, 3 Aug 2018 COB. Leadership team and staff will draft a summary of where we stand, once input has been received. 3/ What does success look like for this group? are there metrics that should be tracked and reported upon on a regular basis? * our mission statement defines the funding environment. Metrics can be as simple/complicated as the application process itself. When the project is implemented, size of the grant, duration of the implementation period are important. 4/ Define principles to determine an appropriate level of overhead. * Charter Q.8 speaks to this. Some discussions are too implementation oriented than what is needed initially. * e.g. should be cost effective, should be concluded within estimated time period. * if not justifiable, we can drop this point, however the mechanism also plays a role here. Accountability, cross-financing between different units might become an issue Sanctions * Sam Eisner has shared the following presentation, which was originally given to the WS2 Jurisdiction group: https://community.icann.org/pages/viewpage.action?pageId=69272128&preview=/… * The issue will come up, if the group suggests mechanism 1 in the draft initial report. It will be raised by the community. Suggestion to have an external opinion on how other 5013C org registerd in the US deal with this issue. The CCWG should prepare the ground for this mechanism to be accepted, but not necessarily come up with a solution. Action item #2: CCWG to review draft questions for ICANN org input, Board input, and external consultant Sarah Berg input by Monday, 30 July at 14:00 UTC. Review of proposed responses to charter questions (updated version to be shared by staff shortly) * See the document that was shared on the CCWG mailing list * Objective is to get this document into a state that it is ready for inclusion in the Initial Report. * Number of questions that have been identified - some may be responded to by Sam/Xavier, Sarah Berg but also the CCWG. * What approach should be taken to get to answers for these questions? * What is the role of the Board in internal mechanism? Board has indicated that they do not expect involvement in daily operations or approving individual projects. May need to be clarified by Board Liaisons re. how much they want to get involved in overseeing individual projects. Depending on which mechanism is recommended, Board may need / want to adjust its thinking. Board does not want any involvement in relation to decisions on individual grants, but oversight of administrative process is expected, for example through annual review / evaluation. * May need to pull out all legal / tax related questions and ask legal to provide guidance on these (possibly through outside counsel). Would first need to see the questions to determine who would be the best person/resource to respond to these. * Some questions earmarked for Sarah may also be more appropriate for other experts / sources. * Need to play it safe and be sure about decisions/recommendations. * How to extract those legal questions that may need input from outside counsel? Need certainty on those essential items before publishing Initial Report. * Small group of volunteers to review questions and undertake a triage effort (which questions are for CCWG to consider, which are for Sam/Xavier, which for Sarah Berg, which ones are possibly for an external source /counsel). Volunteers: Marilyn, Vanda, Samantha, Maureen, Erika. Objective for the small group is to undertake triage effort early next week following which it would share its recommendations with the CCWG ahead of next meeting. Action item #1: staff to set up doodle poll for small group for a call early next week to undertake triage effort. If there are other volunteers, please share your interest with the mailing list. 5. Final review of summary descriptions provided by Sarah Berg - ICANN Contracted Advisor on Strategic Development and Philanthropic Programs (see attached) * Number of questions were identifed for Sarah - will be considered as part of the triage effort as identified under previous item so that a defined set of questions can be shared with Sarah as there may be other items for which her input will be helpful. * Note question in relation to need for human rights assessment into the process. CCWG-Accountability WS2 provided recommendations in this regard - need to consider how that would be implemented into the auction proceeds process. Action item #2: CCWG to review summary document and identify any remaining questions as soon as possible so that these can be considered by the small group of volunteers undertaking the triage of questions. 6. Feedback on remaining steps and proposed timeline (see attached) * See remaining steps & proposed timeline shared. * Please share any concerns you may have about the timeline with the list. Meeting the target of publication of an Initial Report by ICANN63 will require commitment and participation from all. * Should additional meetings be scheduled to make sure all issues can be considered in detail? May be a challenge considering the August timeframe and vacation time in the northern hemisphere. * More time may be needed for consultations in relation to the poll. * Need to maintain flexibility and review on a regular basis how to adjust the timeline / schedule of meetings as this is dependent on the progress that is made. Review of Work Plan and Next Steps 5. AOB Item 3 on the agenda will take the majority of our time on this call. Staff has been working with a small group of volunteers from the CCWG to identify outstanding questions that have been identified and determine how these questions may be answered – through additional discussion in the CCWG, through input from ICANN org, through additional external input, etc. Following this first step taken with the small group, staff has made an initial attempt at converting this set of questions into a narrative document, tailoring a list of questions to each recipient’s scope and area of expertise: https://docs.google.com/document/d/1LYlv616IkOjK0lxCQpQ1x7XbUQoi3tch2sZ0E9G…. I haven't been able to properly research this, but wanted to raise it to staff to ask the retained consultant for more information. This would add significant review criteria to grant proposal reviews. I am not sure that I have seen answers to the questions that I raised, but I am still reviewing the documents in the attachment. Reminder: CCWG members are requested to review the proposed responses to the charter questions and provide input to questions identified by 9 July 2018: https://docs.google.com/document/d/13Kbjnnflt0h5ZVkP57s2nP0trJyQCcuTfdWjzbg…. To facilitate your review, hereby the outstanding items staff identified and shared during the last CCWG meeting: * Charter Question 3 - What safeguards are to be put in place to ensure that the creation of the framework, as well as its execution and operation, respect the legal and fiduciary constraints that have been outlined in this memo? * Need to determine whether additional/different safeguards need to be put in place at the project oversight level. See also charter question #9. * Mechanism 1: Who would be responsible for the oversight? And how could a separation from ICANN be arranged to avoid capture of funds for ICANN ORG related purposes? What safeguards will the department have when policies and procedures to manage it are being designed by ICANN? * Charter Question 5 - What conflict of interest provisions and procedures need to be put in place as part of this framework for fund allocations? * For Mechanisms 1-3, what is the model for separation of staff? * For Mechanisms 2-3, how can the department benefit from services / expertise inside of ICANN Org and how are those services / expertise then paid for, is this also expected to be funded from auction proceeds? * Do we need a description of goals and objectives the fund should support? Or is the mission driven environment, in combination with bylaws, public interest, etc, sufficient? * if we agree to define goals and objectives, how do we want to do this? * Charter Question 11 - Should a review mechanism be put in place to address possible adjustments to the framework following the completion of the CCWGs work and implementation of the framework should changes occur that affect the original recommendations (for example, changes to legal and fiduciary requirements and/or changes to ICANN’s mission)? * What type of review mechanism should be put in place to carry out such a review – is this part of the oversight provided by ICANN Org / Board or is a separate process / mechanism needed? Is the process / mechanism needed different depending on the mechanism chosen? * Comment: ICANN org or Board would need the ability to conduct sufficient level of review in order to meet fiduciary responsibilities. * Charter Question 8 - What aspects should be considered to determine an appropriate level of overhead that supports the principles outlined in this charter? * Need to be specific here about what is meant with overhead – overhead for running the mechanism/program, or overhead for the administration of projects, or both? * Charter Question 9 - What is the governance framework that should be followed to guide distribution of the proceeds? The issues addressed by a governance framework * How may the implementation of the requirements differ between the different mechanisms? * How might governance committees, steering committees, oversight councils, or advisory boards mentioned by experts play into each model? * For Mechanism 2, what is the allocation of responsibility in this model between ICANN and collaborating organizations? * Comment: Under 2, ICANN handles grantmaking in-house (i.e. money to fund applicant wiring from ICANN-managed bank account) while Under 4, existing charitable org handles fund distribution (with ICANN's supervision; money to fund applicant wiring from external-org bank account). * For Mechanism 3-4, what would this look like in practice when working with an established entity? How closely would ICANN need to be involved in elements of the governance framework listed above. Which elements CAN be delegated? * Charter Question 10 - To what extent (and, if so, how) could ICANN, the Organization or a constituent part thereof, be the beneficiary of some of the auction funds? * Could ICANN, the Organization or a constituent part thereof, such as an SO or AC, be an applicant under any circumstances? CCWG may need to confirm with ICANN Org/Board if this may be possible. * Comment: I have the impression that the Board (perhaps Asha or Becky) mentioned that ICANN would never be in the position as a fund applicant.
