Audit Requirements * Please review previous briefing and FAQ at https://community.icann.org/x/KGHwAw * If there are any further questions about this topic, please relay those to staff so these can be added to the FAQ Responses to Charter Question #2 * CCWG to review whether this adequately captures the comments received (see https://www.surveymonkey.com/results/SM-NTHS95MP/) * Consider stress testing the mission limitation – words of the mission may be more limiting. Need to talk through sample submissions of whether they would violate the mission. * Buckets identified are not expected to be exclusionary. * There has to be conscious effort to determine whether things are within or outside of ICANN’s mission. Not only for staff to make that judgement – is also for the community. Ultimate decision will be for the ICANN Board though. * Examples have been identified as part of the responses – could be reviewed in a next step. Would give a flavor, not expected to be exhaustive. * How to deal with buckets that may conflict with each other? Potential segregation of multiple uses could be considered. CCWG will need to consider this further – this is just a first conversation. * Types of applicants – what would be the process for validating applicants? This will be addressed in a later phase. Certain risks will be taken on some of these things – size of grant will depend on the risk willing to be taken. Without risk there will not be any innovative work be undertaken. * Input and ideas from community will be needed on what falls within ICANN’s mission and what doesn’t as there will be obviously grey areas. Also factor in that determination of what belongs in ICANN’s mission and what doesn’t in the context of this effort could also determine in which area ICANN undertakes activities in the future. Look at the question iteratively and progressively to ensure that broader implications are understood. Input from the ICANN community is essential to that decision, but it is up to the Board to confirm that mission is being maintained * Original reference in AGB “The purpose of an auction is to resolve contention in a clear, objective manner. It is planned that costs of the new gTLD program will offset by fees, so any funds coming from a last resort contention resolution mechanism such as auctions would result (after paying for the auction process) in additional funding. Any proceeds from auctions will be reserved and earmarked until the uses of funds are determined. Funds must be used in a manner that supports directly ICANN’s Mission and Core Values and also allows ICANN to maintain its not for profit status.Possible uses of auction funds include formation of a foundation with a clear mission and a transparent way to allocate funds to projects that are of interest to the greater Internet community, such as grants to support new gTLD applications or registry operators from communities in subsequent gTLD rounds, the creation of an ICANN-administered/community-based fund for specific projects for the benefit of the Internet community, the creation of a registry continuity fund for the protection of registrants (ensuring that funds would be in place to support the operation of a gTLD registry until a successor could be found), or establishment of a security fund to expand use of secure protocols, conduct research, and support standards development organizations in accordance with ICANN's security and stability mission”. * Examples included in AGB reference could be stress tested as it predates the current wording of ICANN’s mission. Consider adding mission statement to the documents so that it becomes easier to evaluate. * Consider rewording the first buckets of what shouldn’t be objectives so it is more aligned with what was in the AGB. Action item #1: CCWG members to review survey summary (see attached) and provide input on buckets identified and whether any information is missing or mischaracterized. Input to be provided prior to the next meeting (scheduled for 13 July). Action item #2: Share additional comments received for WG review (see attached). * In order to obtain input in relation to charter questions #4 and #7 – launch straw person type of survey. Draw from the initial input received during the phase 1. Share preview of the survey before launching it. Launch prior to next meeting. Action item #3: staff to launch survey on question #4 and #7, with preliminary responses based on initial input received as well as opportunity for open ended responses. Questions for external experts * How to start process to identify questions for external experts. List has already been created to identify potential experts to be approached (see https://community.icann.org/x/DAnfAw) Develop questions and send those to the identified experts. Action item #4: staff to create google doc to allow for CCWG members and participants to identify questions that should be asked from external experts. The audit is conducted on the financial statements of ICANN which includes the auction proceeds. ICANN now also performs an audit of PTI as it has its separate financial statements as a separate legal entity. * Is there a special account for the revenue from auction? Yes, auction proceeds are segregated and separated in separate accounts. Conservative approach with regards to investing - approved by the Board and even more conservative than for what is used for the reserve fund as well as short term. Investments are made in USD as well as a number of international bonds but to a relatively limited extend. * Regarding the fiduciaryrequirements that disbursements be made in accordance with ICANN’s mission, are the same auditors in charge of judging the level of accordance? Auditors are not judging currently the framing of the mission. They have the obligation to ensure that the activities of the organisation are consistent with their mission. * Because the auction proceed account is expected to be handled on its own… This implies and expenses of managing it has to be kept separately. And not covered by ICANN? Any audit fees cover the whole audit of financial statements of ICANN - costs are not called out with regards to which parts are covered. There may be a need to separate out general costs in relation to auction proceeds, but this has not been determined yet. * How are investment choices made and what happens with the returns, are those tracked in ICANN's financial statements? Conservative choices made based on information avaialble, interests are put back into the accounts. * Are any costs currently covered from the auction proceeds? Currently 233 million on the account - no costs paid for by auction proceeds, even those certain costs have been incurred in relation to the auction proceeds. Will ICANN absorb those costs or will these be taken from auction proceeds? For community to provide input on. Question is: to the extent that ICANN has incurred costs to date (in supporting the CWG DT, this CWG and any other costs), should they be (a) absorbed by ICANN as part of general operation or (b) booked against the capital proceeds from the ICANN auctions? * If a separate organization is in charge of disbursing the funds, is it possible to "transfer" the legal requirements onto this separate agency? ICANN ultimately has the same obligation, whether it is ICANN or another entitiy does the job of evaluation and disbursement. If it is another entity, additional mechanisms would need to be put in place to ensure that those obligations are met. For example, auditing procedures before it starts, recurring checks, insight into evaluation process, controls after funds are disbursed etc. ICANN would need to carry out its own audit of this other entity - form would need to be decided. ICANN's obligation does not stop at the time of disbursement - a whole set of obligations that start at that point. CCWG to continue discussion in Johannesburg. Action item #1: Staff to share questions and responses noted with Xavier for review following which these will be incorporated in an FAQ and posted on the CCWG wiki. Dear All, Please find below the notes and action items from today’s CCWG Auction Proceeds meeting. Best regards, Marika Notes – new gTLD Auction Proceeds CCWG Meeting – 8 June 2017 These high-level notes are designed to help the CCWG navigate through the content of the call and are not meant as a substitute for the transcript and/or recording. The MP3, transcript, and chat are provided separately and are posted on the wiki at: https://community.icann.org/x/DLHDAw[community.icann.org]<https://urldefense.proofpoint.com/v2/url?u=https-3A__community.icann.org_x_…>. 1) Roll Call * Roll call will be taken from Adobe Connect * Remember to state your name before speaking for transcription purposes and mute your phone when not speaking. 2) Welcome / DOI * Note that the letter to chartering organizations concerning the work plan and approach for dealing with the charter questions has been sent to the chairs of all the chartering organizations with the request to distribute it to their respective groups. The letter has also been posted on the correspondence page of the CCWG wiki. 3) Initial run through of charter question 9 (see template distributed) * See template distributed. * CCWG will need to have a discussion around how practical it is to use volunteers to oversee this process. It may not be feasible noting the scope of work this will involve. At the same time, it may attract new volunteers to ICANN to assist with this project and many existing volunteers have experience in this area. Also need to factor in potential for conflict of interest and 'wrong' reasons to volunteer for this effort. This is also where COI measures will need to come in. * To what extend is management outsourced / professionalised - should have an infrastructure as professional as possible, but needs to be balanced with cost and community oversight. Middle ground needs to be found. * First need to make a decision on whether this is one time or ongoing as it would determine if/how to institutionalise these frameworks. * Need to ensure that accountability measures are put in place and are done as professional as possible to ensure that it does not impact on ICANN's tax status and aligns with the legal & fiduciary requirements. * Consider management to be done by professionals while evaluation is done by expert volunteers. See how this is for example done in other organisations (e.g. LACNIC). * Certain tasks in the governance framework will need to be conducted and/or independently verified by outside experts. * One off use of money / process, although the mechanism could be used again should funds become available in the future. Does not however mean that it is a short process as significant funds are involved. Should a part be set aside as part of a longer term investment as the money will not likely be disbursed in one go? For future discussion, including the type of risk that would / could be taken. * When referring to overhead, does % refer to money that is granted or total amount of funds? Need to be made clear when people make comments. Also consider moving from discussion % to discussion $$. Fiscal discipline is critical - but the specific % for overhead depends profoundly on what CCWG wants to accomplish, how we decide to accomplish it, etc. It is not particularly useful to debate at this point in time, other than to say fiscal discipline issues must be squarely addressed once the CCWG has the goals and the methods identified. Action item #1: Staff to update template with notes from meeting. 4) Initial run through of charter question 10 (see template distributed) * See template distributed * Suggestion from the Board that part or % from funds would be used for reserve funds (note, this is not a formal request, just a suggestion). Is currently not at an ideal number, needs to be replenished. What are the views of the CCWG to have a one-time replenishment of the reserve fund from the auction proceeds? Needs to be looked at separately, not as part of a project to be granted - might require a modification of the charter. CCWG could consider some constraining criteria, for example, first require ICANN to set a level for reserve fund, commit to fiscal discipline to get to this level which could then be matched by auction proceeds if this goal would be met. Optics of giving any of these funds to ICANN would be terrible, noting the significant budget ICANN already has. Funding ICANN projects would also create significant COI issues. * Great difference between part of ICANN applying for the funds and using it for operational needs. Note that a suggestion by the independent reviewer as part of the ALAC Review was to use part of the auction proceeds to operationally support At-Large (do note that this has been categorically rejected by ALAC). Action item #2: Staff to update template with notes from the meeting. Action item #3: Leadership team to review notes in relation to the discussion on the reserve funds and share with Xavier to allow for his input as part of the briefing next week. 5) Survey launched to help inform deliberations on charter question #2 (see https://www.surveymonkey.com/r/CCWGAPQuestion2[surveymonkey.com]) - responses to be submitted by Wednesday 21 June at the latest. Action item #4: CCWG to respond to the survey. 6) Confirm next steps & next meeting – Thursday 15 June (briefing by Xavier Calvez on Audit Requirements). No meeting on 22 June.
