If they intend to assist the ALS in applying, even if they are not involved directly in the ALS, then this would be yes. If they are getting direction from that ALS about their participation in this CCWG, then this would be yes. Start of meeting - roll call · Please remember to mute your microphones when not speaking and state your name before speaking 2. Welcome · CCWG members and participants will be asked at the start of the meeting to communicate when updates have been made to the declaration of interest (DOI) · Recap of CCWG meeting in Copenhagen - please see https://community.icann.org/x/N7zRAw · Leadership team will request a meeting slot for ICANN59, but recognises that request may not be granted considering the limitations of the meeting (duration and policy focus) Action item #1: Staff to circulate doodle poll to assess likely in person and/or remote participation should a session be organised at ICANN59 3. DOI identification (see https://community.icann.org/x/FpjDAw[community.icann.org]) · As many responses were not a clear yes/no, staff took the conservative approach and identified anyone that did not say 'NO' with a '*' recognising that it may not be an accurate reflection of who is expected to apply for funding in the future. · Proposal to change the approach to only mark those that provided a clear 'YES' response, while requesting everyone to review their current responses and noting that at the start of every meeting members/participants will be asked to identify whether or not any changes have been made to the DOI. · DOI was introduced to ensure transparency in light of the issues that this CCWG is expected to address. Ensure transparency around whether there are members/participants that are aiming to shape the recommendations who are also interested to apply subsequently for the funds. Need to understand motivation of deliberation which will need to be factored in by the ICANN Board as it considers the recommendations. · Possible alternative - add response to question 6 to wiki page so that there is no need to interpret but for everyone to see. Action item #2: All CCWG Members & Participants to review their DOI and ensure that it is up to date. Any changes to the DOI should be communicated to staff. Action item #3: Staff to update wiki page by adding a column which would include the response to question 6 of the DOI. 4. Response to Board letter (see https://docs.google.com/document/d/1JkLb69iVyJ2TOps1NtgEGXkom37xY6S5KmQB2ST…) · Proposed approach: acknowledge receipt but note that in a number of areas the CCWG may need to give further consideration to the issue and may or may not agree with the Board's input. · CCWG to identify whether there are any specific issues that need clarification at this stage or whether it is likely that these issues will get addressed at a later point in time. Action item #4: CCWG members & participants requested to identify whether there are any further issues that require further specific response to ICANN Board by 6 April. Action item #5: Staff to work with leadership team on preparing a first draft response for CCWG review in time for the next meeting. 5. Initial review of charter questions & work plan · See proposed approach discussed and circulated during the meeting · Proposed step 1 - initial run through of all charter questions, step 2 compile list of possible mechanisms, step 3, determine whcih mechanisms demonstrate potential to meet CCWG expectations, step 4 answer charter questions for mechanism(s) that demonstrated most potential, step 5, following consensus on mechanism and responses to charter questions, publish Initial Report for public comment Action item #6: CCWG to review proposed approach and provide feedback to the list ahead of the next CCWG meeting Action item #7: If there are no objections to this approach, staff to work on updating the work plan & timeline with this approach in mind. Dear All, Please note the status of the following action items: Action item #1: Staff to review DOI and indicate with * all those that have responded ‘yes’ to question 6 of the DOI. · Note that staff has reviewed all DOIs and for all those for which the response to question 6 was not a clear ‘NO’, names have been marked with a ‘*’ (see https://community.icann.org/x/FpjDAw) It was pointed out that question 6 could be clarified as follows: ‘Do you individually and/or through any entity intend to apply for funding through the mechanism that is to be determined through the work of this CCWG?’. As a result, the DOI template has been updated (see attached). New action item: All CCWG members and participants to review whether they have been correctly identified as possibly / definitely applying for auction proceeds per the response to question 6. If you believe you have been incorrectly identified and/or need to update your DOI to reflect the clarified question, please contact the GNSO Secretariat at gnso-secs(a)icann.org<mailto:gnso-secs@icann.org>. Action item #2: Staff to post table as a google doc. Must not be used for political activity: ICANN is barred from any activity that intervenes in a political campaign for a candidate for public office. This includes not providing funds to a separate organization that intervenes in a campaign. Charter includes requirement that proceeds cannot be provided to organizations that intervene in campaigns for candidates (US or outside of US). This is a ‘trail’ down requirement - need to ensure that proceeds down the line are not provided for this purpose. &#8226 4. Should not be used for lobbying activities - ICANN engages in a small amount of activity that is classified as lobbying, which in the US focuses on attempts to influence legislation. If ICANN provides funds to other organization that engages in lobbying activities, such activities would be considered ICANN’s. CCWG could impose requirement that all recipients agree to this commitment as part of the grant process. Where is the line, especially looking across jurisdictions? There may be a number of objective criteria that could be identified - such as registrations as a lobbyist. &#8226 5. Conflict of interest considerations - taking decisions without conflict of interest is paramount. ICANN is prohibited from benefitting insiders to ICANN. Appropriate limitations include prohibitions auction proceeds being awarded to business that are owned in whole or in part by ICANN board members, executives or staff or their family members. Community conflict of interest concerns should also be takin into account. What will be the separation between those making the recommendations and those eligible for award? What segregation of duties or commitments from participants in the CCWG might be appropriate? May not be possible to draw a firm line at this stage of the process, but very important to keep this as an ongoing conversation and be transparent about it. &#8226 6. Procedural Concerns - ICANN will always be responsible for making sure that funds are provided to the appropriate organization both in confirmation of mission and in making sure that funds are provided in a manner consistent with ICANN’s 501(c)(3) status. Number of things that the CCWG can do: make transparent assessment of how the recommendations service ICANN’s mission, considerations of use of established mechanisms for disbursement of funds, as opposed to calling for development of untested mechanisms, recommendations that enhance transparency. &#8226 7. Financial and Fiduciary Concerns: the Board and Officers of ICANN hold fiduciary duties to the organization to make sure that self-dealing does not occur and their private interests are not benefited through ICANN’s decision making and actions. The process through which funds will be disbursed must happen as transparently as possible, without conflict, and based on complete information. ICANN will maintain an ongoing audit function over the distribution process; there is an ongoing governance role. ICANN Board Letter to the CCWG &#8226 Letter has been broken up in a structured way to allow for a structured response by the Board  &#8226 Volunteers to review comments received to date and develop a proposed response for CCWG review  &#8226 In relation to point four, the work of this group is to set a direction / objective for what the use of the funds are and what the criteria for success are. &#8226 Collective drafting of response &#8226 Some of the issues in the letter may conflict what is currently in the charter? &#8226 Need to confirm timeline for drafting a response. Dear All .. Apologies again for not being able to attend the face-to-face meeting in Copenhagen, as the drafting of the GAC communique ran late, and thanks to Marika for the action items update .. Reference to the discussion on the DOIs and the below action item, I’m just wondering how this could be pre-empted, for everyone, when we haven’t yet agreed on an answer to question 10. of the Charter: ‘10. To what extent (and, if so, how) could ICANN, the Organization or a constituent part thereof, be the beneﬁciary of some of the auction funds?’ If the answer to this question ultimately allows ICANN, the Organization, or any of its SOs/ACs to apply for the funds, this means that most (if not all) members and participants of this working group should have answered question 6. of the DOI somehow positively, as it becomes technically possible that they apply for such funds through their SOs/ACs: ‘6. Do you individually and/or through any entity intend to apply for funding through the mechanism that is to be determined through the work of this CCWG?’ Or have I misunderstood the issue ?
