ICANN posts *redacted* Form 990 for year ending June 30, 2008

Hi folks, ICANN has posted their latest IRS Form 990 for the year ending June 30, 2008, see: http://www.icann.org/en/financials/tax/us/fy-2008-form-990.pdf however it is highly redacted (page 10 shows a date of May 14, 2009, so it must have been posted recently). In particular, note page 43 of the PDF does not give the individual compensation, instead saying: "Compensation, employee benefit and expense account information redacted for, confidentiality." However, according to Guidestar: http://www.guidestar.org/DisplayArticle.do?articleId=865#1 "Organizations that do not wish to provide hard copies of these document(s) do have another option: they can post a copy on their Web site. With the exception of masking donor's names and addresses on Forms 990, 990-EZ, and 990-PF, the documents must not be altered in any way." Obviously redacting the employee compensation information is going beyond what Guidestar says is allowed. The law is that anyone can ask for a copy of the unredacted versions: http://www.irs.gov/charities/article/0,,id=96430,00.html http://www.irs.gov/charities/article/0,,id=139231,00.html "In general, exempt organizations must make available for public inspection certain annual returns and applications for exemption, and must provide copies of such returns and applications to individuals who request them. Copies usually must be provided immediately in the case of in-person requests, and within 30 days in the case of written requests. The tax-exempt organization may charge a reasonable copying fee plus actual postage, if any." I have sent a request to Kevin Wilson for the full unredacted form with ALL schedules unredacted. It's going to show up eventually anyway at Guidestar, so I don't understand why ICANN is playing these games, when they are supposed to be "transparent" and "accountable." If anyone passes by the ICANN offices in-person, please do make the request, as they must provide an unredacted copy immediately. Some compensation numbers did get through unredacted (pages 35 through 39), namely: 1) Douglas Brent (COO) $390,939 ($99,412 contribution to employee benefit plans) 2) John Jeffrey (General Counsel) $314,500 ($63,982 contribution to employee benefit plans) 3) Paul Levins (VP), $263,946 ($84,110 contribution to employee benefit plans, and $48,359 expense account and other allowances) 4) Kurt Pritz (SVP), $318,846 ($79,627 contribution to employee benefit plans) 5) Paul Twomey (CEO), $691,610 ($255,649 contribution to employee benefit plans) 6) Kevin Wilson (CFO), $153,310 ($50,198 contribution to employee benefit plans) (some of the above might not be for a full 12 months) Page 43 reveals Amy Stathos, Theresa Swinehart, David Conrad, Denise Michel and Daniel Halloran combined for a total of $1,094,308, with $278,826 as contributions to employee benefit plans and $115,649 for expense accounts. Page 44 reveals Jones Day pulled in $1.6 million for legal services, the Ombudsman's corporation pulled in $437K, Mehlman Vogel Castagnetti pulled in $240K, Gibson Dunn Crutcher got $140K and Clayton Utz got $128K. Page 45 reveals The Wentworth Company got $589K, Interisle got $395K, Project Management Solutions got $338K, Iron Mountain got $327K, and Crown IT got $309K. Page 11 reveals that 54 other employees were paid over $50,000. Compensation should reflect non-profit comparables, as I've argued before at: http://www.circleid.com/posts/20090105_icann_for_profit_companies_comparabl… Relevant comparables could be found for people working similar jobs at the USPTO, NTIA, DOC, DOJ, universities, hospitals and other organizations of that nature, with their inherent job security compared to the for-profit sector of the economy. The announcements include: New Explanatory Memo for Pre-delegation Testing for New gTLDs The module 5 of the Draft Applicant Guidebook version 2 available since early February describes procedures applicable at the concluding stages of the gTLD application process, more specifically, a pre-delegation test addressing technical and other requirements the applicant will be asked to fulfill. ICANN is posting today the Pre-Delegation Testing explanatory memoranda [PDF, 108K]. This explanatory memo has been incorporated to the following currently open public comment forum http://www.icann.org/en/topics/new-gtlds/comments-e-en.htm. The deadline for comments is 20 July 2009. The purpose of the pre-delegation technical test is to verify the applicant has met its commitment to establish registry operations in accordance with ICANN’s technical and operational criteria described in the Applicant Guidebook. The checks are also intended to ensure that the applicant can operate the gTLD in a stable and secure manner. There are three sets of tests or verification: DNS infrastructure testing and prerequisites, registry system testing and prerequisites, and an additional requirement to provide for continuity of basic registry operations. ICANN encourages comments on the interim language provided. The comments received will be considered for version 3 of the draft Applicant Guidebook, scheduled to be published in September 2009. IRT Report of Trademark Protection in New gTLDs Public Comment Period Extended The public comments period for the Final Report on Trademark Protection in New gTLDs [PDF, 299K] prepared by the Implementation Recommendation Team (IRT) has been extended to July 6th, 2009. Malicious Behavior Overarching Issue The Anti-Phishing Working Group (APWG) has provided a working draft of their comprehensive ongoing study on the topic of potential malicious abuse of the DNS and new gTLD expansion. The draft report describes several issues and is available for review on the ICANN New gTLD Overarching Issues Wiki. Recommended New gTLD Sessions during ICANN Sydney Meeting The ICANN Meeting in Sydney (June 21 – 26) will have several New gTLD program sessions. The selection below is a recommendation only and we encourage the ICANN community to see the Sydney schedule for additional details. 21 June 2009 New gTLD Program Updates This session will provide an overview on the progress being made on the New gTLD Program. There will be an opportunity for public feedback. Workshop on Registry-Registrar Cross-Ownership One of the remaining issues to be resolved with regard to the New gTLD Applicant Guidebook is what restrictions should be imposed on new gTLD operators concerning the ownership or control of registrars. This Workshop will focus on potential harms and benefits associated with vertical integration of gTLD registries and registrars, and tools ICANN and the community could consider to attempt to address the issue. The workshop will include presentations from a panel of economists, plus an opportunity for comments from interested registries and registrars, other industry stakeholders, and the public. New gTLD Program: Managing a Registry: Best Practices At this session, few Top-Level Domain (TLD) Registry managers will share their experience discussing the practical aspects of managing a TLD Registry. This session will cover business, operational and technical aspects of day-to-day Registry management. Some of the topics covered will be: buy vs build; security and scalability considerations; channel management; TLD acceptance issues; IDNs management. June 24 2009 New gTLD Program – Consultation Session on Trademark Protection & Malicious Behavior This session is designed to discuss with the community two of the four overarching issues identified in the New gTLD Program: (a) trademark protection; (b) and potential for malicious behavior. This session will be divided in two parts: (1) Trademark Protection - a panel of experts will present and discuss with the community several proposed mechanisms for enhancing protection of intellectual property rights in the New gTLD Program; (2) Malicious Behavior – a panel of experts will provide the community with an update of work done to identify and mitigate potential increases in malicious conduct following the introduction of new gTLDs. Other New gTLD Related Events Sydney marks the first of a series of overarching issues consultation sessions ICANN staff is planning to conduct in June and July. The four overarching issues that were identified in the first two public comment periods of the Draft Applicant Guidebook (DAG) are: Trademark Protection; Malicious Behavior; Security & Stability; Scale & Demand (the economic impact of the new gTLDs). Upcoming live consultation sessions will be held in New York (July 13) and London (July 15). In addition to the overarching issues consultation sessions described above, ICANN will also be hosting live outreach/educational events and webinars to offer an introduction about New gTLDs, give up-to date program developments and make available relevant ICANN staff for face to face discussions. They will allow for more innovation, choice and change to a global Internet presently served by only 21 generic top-level domain names. As a not-for profit corporation dedicated to coordinating the Internet's addressing system, ICANN is not doing this to add to its revenue. An implementation plan is being developed with opportunities for public comment. There will be processes for objections. There has also been detailed technical scrutiny to ensure the Internet's stability and security. There will be an evaluation fee but it will recover costs only (expenses so far, application processing and anticipated legal costs). Promoting competition and choice is one of the principles upon which ICANN was founded. In a world with 1.5 billion Internet users (and growing), diversity, choice and innovation are key. On 18 May 2009, ICANN posted for public information a request submitted by Tralliance through the Registry Services Evaluation Process (RSEP). The request calls for a phased allocation process for one and two-character names in dot-travel. The Tralliance proposal is available at http://www.icann.org/registries/rsep/travel-18may09-en.pdf. As provided for by existing consensus policy (http://www.icann.org/en/registries/rsep/rsep.html) ICANN performed a preliminary review to determine whether the proposal might raise significant security, stability, or competition issues. ICANN's determination is that the proposal does not raise such issues. [Note that, from 13 June to 13 July 2008, ICANN conducted a public comment forum on a proposed single-character second-level domain names allocation framework (http://www.icann.org/en/registries/rsep/proposed-scsld-allocation-framework…) which supported the allocation single-character second-level domain names in existing registries and reviewed various allocation methods.] The proposal requires an amendment to the dot-travel Schedule of Reserved Names (Appendix 6) and a description of the phased allocation program is proposed to be inserted in Section 9 of Appendix 7. For information --------------------- Facebook, the social networking site, has announced that as from tomorrow, Saturday 13 June, its users can choose a "a username on a first-come, first-serve basis for your profile and the Facebook Pages". It also says "you may not be able to sign up for a username immediately because of steps we've taken to prevent abuse or "squatting" on names". ICANN by-laws update

I attach a proposed set of changes to the ICANN bylaws to reflect GNSO reform. They have been the subject of long debate on the GNSO council. There are outstanding issues for us with regard to the seats allocation for the new NCSG but this is a separate dialogue that we will continue with the Board in Sydney. Fyi this report from ICANN Staff re implementation of the Consensus Policy limiting domain tasting. There is not much substance in here, other than to say that all gTLD registries have now implemented the policy. Another report will come in December, which will have statistical and other analysis about the implementation. Please let me know any questions or comments on the report, in particular I would appreciate Members' comments on whether the policy implementation has resulted in less new cybersquatting matters. It is my firm belief that it has resulted in far less new cybersquatting matters for the brands I track, but I would like others' impressions as well.
