ICANN staff has also consulted with ICANN's legal department regarding the questions that were raised about voting thresholds and Consensus Policies. Voting Thresholds The voting thresholds for PDP recommendations to be adopted are set out in the ICANN Bylaws here <http://www.icann.org/en/about/governance/bylaws#X> http://www.icann.org/en/about/governance/bylaws#X. As you can see, approving a PDP recommendation requires at a minimum: 'an affirmative vote of a majority of each House and further requires that one GNSO Council member representative of at least 3 of the 4 Stakeholder Groups supports the Recommendation'. It should be noted though that depending on whether a supermajority vote is achieved on a recommendation, the voting threshold needed for the ICANN Board to determine that such policy is not in the best interests of the ICANN community or ICANN differs (i.e. if supermajority is achieved, it requires more than a 2/3 vote of the Board, while if no supermajority is achieved, a majority vote of the Board would be sufficient) - <http://www.icann.org/en/about/governance/bylaws#AnnexA> http://www.icann.org/en/about/governance/bylaws#AnnexA. Furthermore, if a supermajority threshold is achieved, the certainty of implementing some or parts of some of the recommendations as Consensus Policy may be more clear, but further determinations would need to be made in relation to each of the adopted recommendations as part of the implementation process to determine what would be the most effective / efficient way of implementation. If a supermajority threshold is not achieved, alternative mechanisms can be considered to implement the recommendations. Finally, to approve an Issue Report, what is required is a quarter of each House or a majority of one House. Structure of the motion After consultation with Jonathan, I suggest the Council should vote on the second alternative of what was Recommendation 5, which is why we could delete the first alternative from the draft motion. One additional thing I'd like to suggest is that, instead of considering the request to the SCI (to review consensus levels in the WG Guidelines) as part of the motion, the Council take up that item as part of our Consent Agenda during the Wednesday meeting. Jonathan - this item is for your attention and action; will you grant the request? Attached to this email are the following: (1) A renumbered IGO-INGO motion: * Renumbered such that the former Resolved Clause 5 (which contains the language pertaining to those recommendations that received Strong Support but Significant Opposition) is now moved to the end of the motion and the two alternative wordings highlighted in yellow- with the result that all the preceding Resolved clauses now contain only the WG's Consensus recommendations. * All Consensus recommendations are marked with two red **s; those receiving Strong Support but Significant Opposition (now contained in the last Resolved clause with the renumbering (new clause 8)) are marked with three blue ###s. * The word "and" has been underlined in the new clause 8, in the bullet point concerning IGO acronyms entering the TM Clearinghouse (currently Strong Support but Significant Opposition) - to emphasize the fact that at the moment there is no WG consensus on whether IGO acronyms should enter the TMCH for second-level protections (there is already Consensus that these acronyms will not receive top level protection). * The former Resolved Clause 7 (referring to the SCI review of the WG Guidelines) has been removed - to be moved to the Council's Consent Agenda if approved. * No substantive, language or any other editing changes have been made to the motion - this is otherwise the same motion that was sent on 10 November and discussed over the weekend. (2) A list of the exact identifiers referred to in the WG report and the motion for each group of organizations (RCRC, IOC, IGOs and INGOs other than the RCRC/IOC). Hopefully these supplementary materials will assist in further constructive discussions on Tuesday and Wednesday. Thanks, Thomas

There are any number of issue that a corporate board faces that require confidential deliberation, decision making, and action. I’ve had more than my share of these cases. I’d caution against the BC taking the broad stance suggested, even if limited to “just” Internet Governance. I am a strong supporter of openness and transparency but there are times that other mechanisms are appropriate. Blanket admonitions rarely achieve a rational result. CALL FOR DRAFTERS: BC Comment on Accountability & Transparency Team's Draft Review

We discussed this on yesterday's member call. Anjali Hansen volunteered (thank-you, Anjali), and we want to cast a broader net for help in drafting these comments. The second Accountability sand Transparency Review Team (ATRT2) was convened as part of the Affirmation of Commitments. (ATRT2 page<http://www.icann.org/en/news/public-comment/atrt2-recommendations-21oct13-e…>) The ATRT2 just published its draft review/recommendations (here<http://www.icann.org/en/about/aoc-review/atrt/draft-recommendations-15oct13…>), including these recommendation: • establish clear metrics and benchmarks against which improvements in accountability and transparency can be measured; • communicate clearly and consistently about its accountability and transparency mechanisms and performance; and • improve and prioritize its AoC Review processes. Initial comments are due 22-Nov so we want draft comments circulated to BC members before 8-Nov. He has studied Communication, International Law and International Relations at the University of Leipzig (B.A. 1971, M.A. 1974, Ph.D. 1981). His Academic Teaching Experiences includes courses and lectures on Internet Governance at numerous universities around the globe, including, inter alia die School of International Services at American University in Washington D.C. and the Faculty of Journalism at Lomonossow University in Moscow. He is involved in Internet Governance issues since 1997 and has participated - in various capacities - in 45 ICANN meetings. He served five years in the NomCom (2009/2010 as its chair) and was since 2011 a member of the GNSO Council, elected by the Non-Commercial Stakeholder Group (NCSG) where he is a member of the NCUC. In the WSIS process he was a member of the Civil Society Bureau, co-chaired the Internet Governance Caucus (IGC) and was appointed by UN Secretary General Kofi Annan as for the UN Working Group on Internet Governance (WGIG). In the Tunis Summit he was part of the governmental delegation of Denmark. Between 2006 and 2010 he served as Special Adviser to the Chair of the Internet Governance Forum (IGF), Nitin Desai. In 2011/2012 he was a member of the UNCSTD Working Group on IGF Improvement. In 2012 he joined the German governmental delegation to the World Conference on International Telecommunication (WCIT) and served in the Informal Expert Group of the World Telecommunication Policy Forum in 2013. He is a co-founder of the European Dialogue on Internet Governance (EURODIG), the Global Internet Governance Academic Network (GIGANET), the Summer School on Internet Governance (SSIG) and chair of the ICANN Studienkreis. He served in the Advisory Board of the dotmobi Registry and became in 2010 an International Adviser to CNNIC. In the EU, he was involved in the Safer Internet Action Plan (SIAP), the Task Force on the Internet of Things and the Inter-Regional Information Society Initiative (IRISI). In the Council of Europe he chaired the Expert Group on Cross Border Internet (2009 2011). For more than 20 years he was a member of the Council of the International Association for Media and Communication Research (IAMCR) and served as the president of the IAMCR Law Section between 1988 and 1998. He was a member of the Program Committee for INET 2002 in Washington D.C. and a Key-Note Speaker, Panelist, Moderator and Rapporteur of numerous international conferences. His research work includes more than 100 international publications, including 7 books. Since 2011 he is the editor of the publication series MIND (Multistakeholder Internet Dialogue). He also served as member of several advisory boards of scientific journals, including Transnational Data and Communication Report, Computer Law and Security Report, The Journal of Media Law and Practice, Gazette and the Journal for Virtual Reality. He testified in Hearings in the Deutsche Bundestag and the European Parliament.
