Firstly, thanks very much for the comments; as you know this decision is up to the signers of the MoU to make. I'm sure that they will take on board your thoughts. Just to be completely clear though, Communica.ch is not at present an accredited ALS, so whether or not you were willing to become a party to the MoU, at the present time your organisation would not be eligible until the status of your application is dealt with, which is as I understand it pending either: 1) Amendment of your Bylaws, or; 2) the adoption of the applications criteria evaluation process which the ALAC is to decide one way or the other later today. After either or both of these events your application could be voted on by ALAC. This was put in not really in relation to the current ALSes but because in the future, there will be entirely new ALSes, and those who are a part of the MoU may wish to require them to 'sign up' to the MoU in order to participate in some ways. Equally, signers may not care to impose any conditions - it was deliberately left flexible. As to the timeframe to sign up, it would be incorrect to say that they have only two days to make this decision. In truth, the MoU has been signed now for more than a month; those who had not yet indicated their digital signature could have done so at any time between the signing ceremony on 30th March to the present date. Please remember that these decisions are up to you and if you wish to object, you can object. That is exactly the case. The provisions were meant to be flexible though - if those who signed decided to let those who do not sign - now or in the future - vote, then nothing stops the signatories from decididng to allow that. The reverse is also the case. As to your point about whether the MoU has any impact on non-signers, you are of course correct that it only binds those who are a party to it. Note that these are two separate questions though. Legal Advice needed on a candidate for one of the elected European ALAC seats

Dear Sue and Dan: I have been asked by a group of the European ALS members to get a view for them on the following questions related to the candidature of Veronica Cretu for one of the two EURALO-elected ALAC seats. The background: Ms. Cretu was nominated for the seat, and accepted the nomination, in advance of a deadline for receiving nominations of 20th April. It became clear after the nominations period closed that Ms. Cretu was not a member of any accredited ALS in the European region. Annette Muehlberg, the ALAC member appointed by the NomCom for the European Region, and official representative of the Network New Media ALS located in Germany, then announced by email that Ms. Cretu was now a member of the same ALS. Ms. Cretu is herself a national of Moldova. The MoU with ICANN provides, in Clause 5.4.1, attached and as follows: "The EURALO will choose two (2) individuals to serve as representatives on the At Large Advisory Committee (ALAC) and other bodies as appropriate in the terms specified in the ICANN Bylaws. The voting rights shall be determined by the EURALO. The selected representatives must be members of different ALSes, must have their principal residence in different countries of the region and their nationalities must be different, save always that the EURALO may define additional diversity requirements. Selected representatives will have the responsibilities described in the ICANN Bylaws. " Likewise, the Bylaws of the EURALO provide as follows in connection with this situation: "11.5 The General Assembly is responsible, without limitation, for the following matters: [...] 11.5.10 Electing the ALAC members representing Europe. The selected representatives must be members of different ALSes, must have their principal residence in different countries of the region and their nationalities must be different. To the extent possible, gender balance and regional balance within Europe shall be fostered." The questions the region needs answered, in order to be assured of avoiding any unintentional violations of either the letter or the spirit of the rules and procedures, are as follows: 1) Since the nominations closed on 20th April and the candidate was not at that time a member of any ALS, is her candidature forfeit? 2) Since she is now a member of the same ALS (from Germany) as the NomCom representative Annette Muehlberg who is herself also a German national, does this invalidate her candidature? 2007 EURALO Election Details* Incorporating the decisions recommended to the region on the teleconference of 4 May 2007 ELECTION PERIOD: Noon UTC, Friday 11 May to Noon UTC, Wednesday 16th May. VOTERS: The designated voters (1 per ALS) of ALSes who have signed the Memorandum of Understanding with ICANN either in-person at the Lisbon ICANN meeting or digitally via electronic mail - at any time before the beginning of the voting - Text available from the RALO Organising Instruments page. CANDIDATES: All those nominated up to the end of the teleconference on 4th May 2007 (see below for complete list) NUMBER OF BOARD SEATS: The strong recommendation of those on the teleconference was that there should be 7 members of the initial board. If there is any objection to this number, then the call's strong recommendation is that there should be a section on the ballot for each voter to pick from amongst the following options for the number of total seats: 5, 7, 9 Voting For the ALAC Candidates: Each voter may vote for two candidates amongst the field of three If Ms. Cretu's candidature is viewed as invalid by the Office of the ICANN GC then the two remaining candidates will be voted on. The terms of the two seats are staggered. Whichever candidate receives the larger share of the vote shall have the two-year term. The candidate receiving the next-highest number of votes shall receive the one year term. The two candidates receiving the the most votes will be elected. The remaining candidate, (if any) will be subject to election to the Board (see below for details) Voting For the EURALO Board: The ballot for the board will list all of the current nominees for board seats, of which there are twelve (12) (reproduced below and also at Meeting Notes 4 May 2007.) This list includes the three candidates for ALAC seats. If there is a candidate for an ALAC seat who does not get elected, that person may be seated as a board member (but see below). No candidate for ALAC may be elected to both an ALAC seat AND a board seat, however. The actual ballot will work as follows (subject to the capability of the voting system to be able to accomodate this procedure; if it is not, then we will let you know what can be done which is as close to the below as possible: Each voter will rank, in order of preference, ALL the board nominees. The voting system will then produce a list, which incorporates the preferences expressed. The board members who will be elected are the top 'N' listed, from the top of the list on down. The Number 'N' shall be either: In the case that no objection is raised to the call's recommendation of seven (7) members: 7 In the case that an objection is raised, then the number shall be that number from the selection above (5,7,9) which receives the most votes. TERM OF BOARD MEMBERS: It was not decided on the call how to determine which board members would receive one year terms, and which would receive two, as per the Bylaws, Clause 9.5.2. Therefore, the staff recommends the following: The top 1/2 of the list of preferences from the board election (rounded to the nearest whole number, depending upon the number of seats), will receive two-year terms, and the bottom 1/2 will receive one-year terms. PLEASE FEEL FREE TO OBJECT TO THIS PROCEDURE as this is simply a staff proposal. Keep in mind, however, that it might be viewed as less than ideal to have another ballot, immediately after the first, to decide who shall have what length of term from amongst those elected. VOTING MECHANISM: At-Large uses a voting system provided by BigPulse (www.bigpulse.com) The authorised voter will receive an individualised email, with a clickable link as well as manual login instructions, which are individually-generated. The system will be setup to provide a secret ballot, and the ICANN staff will ensure that the system produces a reminder email 48 hours before the vote closes, and then again 24 hours before the vote closes, to any voter who has not yet voted to help ensure that they do cast a vote. We will also setup a URL where anyone will be able to see the results of the vote for themselves to ensure transparency with respect to the results. This URL will be forwarded to both European email lists. Dear All: Amongst the strong recommendations produced on the call was relevant to the qualified voters in the upcoming elections. Whilst no impediment to participating in the work of the organisation is otherwise envisaged, it was strongly felt that only ALSes who are a party to the MoU with ICANN should cast votes in the upcoming election. The ICANN staff were asked to produce a list of the ALSes who have signed, either in person in Lisbon or electronically afterwards, and also a list of those accredited ALSes who have not signed. Dear All: As previously noted, the summary outcomes of the teleconference are available at: https://st.icann.org/euralo/index.cgi? meeting_notes_4_may_2007. The recording of the meeting will shortly be accessible at: https:// st.icann.org/euralo/index.cgi?4_may_2007 With respect to the outcomes, those participating on the call resolved that the decisions would be of the nature of 'Strongly Resolved', meaning that if there is no objection to a particular decision, that decision would stand. If any objection is raised then that point will of course continue to be discussed - however, those on the call were of the view that maximum restraint and flexibility is urged upon all EURALO participants as the idea is to get the procedural process of elections concluded in good time before the San Juan ICANN meeting in late June so that flight and other arrangements in particular for the new ALAC members can be concluded.
