Consent Agenda: Resolved, the following resolutions in this Consent Agenda are approved: a. Approval of Board Meeting Minutes Resolved (2012.10.03.01), the Board approves the minutes of the 13 September 2012 ICANN Regular Board Meeting. b. Registry Stakeholder Group Charter Amendments for Posting Whereas, The ICANN Bylaws (Article X, Section 5.3) state, "Each [GNSO] Stakeholder Group shall maintain recognition with the ICANN Board." Whereas, the GNSO Registry Stakeholder Group (RySG) has alerted ICANN Staff and the Board to a set of changes to its Charter including expanding the activities of its internal Observers Group and simplifying the process for assessment of annual dues. Whereas, the Board believes community review and comment of the RySG charter changes can provide a useful input to the Board; Resolved (2012.10.03.02) that the CEO is directed to open a Public Comment Forum asking for community review and comment on the changes that the Registry Stakeholder Group has proposed to its charter. c. Appointment of Narayan Gangalaramsamy to the Security & Stability Advisory Committee Whereas, the Security and Stability Advisory Committee (SSAC) does review its membership and make adjustments from time-to-time. Whereas, the SSAC Membership Committee, on behalf of the SSAC, requests that the Board should appoint Narayan Gangalaramsamy to the SSAC. Resolved (2012.10.03.03), the Board appoints Narayan Gangalaramsamy to the SSAC. d. Contracting and Disbursement Authority For Audit Program Service Provider Whereas, ICANN is committed to attaining a high ethical standard to help ensure the legitimacy and sustainability of the multi-stakeholder model. Whereas, it is crucial to have strengthened programs and practices in place to help promote ICANN's goals, including that of enhanced contractual compliance. Whereas, planning a thorough and comprehensive audit of ICANN registries and registrars over a three year timeframe is consistent with and is intended to help progress ICANN's goals of understanding, enhancing and improving contractual compliance. [Negotiation details redacted] Whereas, the value [negotiation details redacted] will exceed the ICANN Officers' existing contracting and disbursement authority. Resolved (2012.10.03.04), the Board hereby authorizes the President and CEO, or his designees, to negotiate for and enter into a contract with an appropriate Audit Program service provider, and make all required disbursements called for under that contract [negotiation details redacted]. Resolved (2012.10.03.05), the Board approves the redaction of the details of the Resolution 2012.10.03.04 pending completion of negotiations. 2. Main Agenda: a. BGC Recommendation on Nominating Committee Chair/Chair-Elect Whereas, the BGC has reviewed the Expressions of Interest from candidates for the Nominating Committee ("NomCom") Chair and Chair-Elect. Whereas, the BGC has interviewed certain candidates and recommended that that Yrjö Juhani Länsipuro be appointed as the 2013 NomCom Chair and Cheryl Langdon-Orr be appointed as the 2013 NomCom Chair-Elect. Resolved (2012.10.03.06), the Board adopts the recommendation of the BGC and hereby appoints Yrjö Juhani Länsipuro as the 2013 NomCom Chair and Cheryl Langdon-Orr as the 2013 NomCom Chair-Elect. 3. Executive Session The Board conducted a confidential portion of the meeting during which it passed other resolutions (2012.10.03.C1 and 2011.10.03.C2) that shall remain confidential as an "action relating to personnel or employment matters", pursuant to Article III, section 5.2 of the ICANN Bylaws.

Alternate Model Trademark Clearinghouse Call on October 9th, 9 am Eastern US Time

All, As most of you are aware, ICANN posted its proposed implementation model of the TMCH earlier this year, with the most recent drafts posted on September 24, 2012 (http://www.icann.org/en/news/announcements/announcement-7-24sep12-en.htm) For a number of months, several registries and registrars have been working on an alternate mechanism for implementing the Trademark Clearinghouse at least with respect to how the Clearinghouse interacts with the gTLD Registries and Registrars. A paper discussing the issues presented by the proposed ICANN implementation model along with our proposed alternate Sunrise and Trademark Claims models has now been posted by ICANN at: http://newgtlds.icann.org/en/about/trademark-clearinghouse/sunrise-model-26… http://newgtlds.icann.org/en/about/trademark-clearinghouse/claims-model-26s… http://newgtlds.icann.org/en/about/trademark-clearinghouse/model-issues-26s… ICANN has graciously volunteered its resources to host a call on October 9th at 9am Eastern US time for the authors of the alternate models to discuss our models and rationale. Sponsored by the Noncommercial Users Constituency (NCUC), the voice of civil society in ICANN, the policy conference will focus on key ICANN policy issues like the need to promote both cyber-security and human rights in the development of global Internet policies. The event kicks-off with a morning address from cyber-security expert Ron Deibert, Director of the Canada Centre for Global Security Studies and The Citizen Lab, an inter-disciplinary research and development hothouse at the University of Toronto. Deibert will address the need to establish a cyber-security strategy for global civil society. "Cyberspace is at a watershed moment. Global civil society, now increasingly recognised as an important stakeholder in cyberspace governance, needs to step up to the challenge," said Deibert. "What is required is nothing less than a serious and comprehensive security strategy for cyberspace that addresses the very real threats that plague governments and corporations, addresses national and other security concerns in a forthright manner, while protecting and preserving open networks of information and communication." The afternoon sessions begin with welcoming remarks from Fadi Chehade, ICANN's new Chief Executive Officer, a Lebanese-Egyptian IT entrepreneur, who took the helm of ICANN last month and pronounced he was committed to strengthening the multi-stakeholder process of Internet governance. Additional speakers at NCUC's policy conference include Fionna Alexander from the U.S. Commerce Department and other governmental representatives. The all-day event's four panel sessions include participation from ICANN board members and senior staff, civil society and Internet business leaders. The conference will explore a broad range of ICANN policy issues including privacy concerns related to the whois policy that requires the publication of registrants' personal data and discussion of ongoing negotiations with law enforcement agencies regarding a related policy that privacy authorities have called "unlawful". The geopolitical landscape of Internet governance models and the shifting role of stakeholders will be addressed by experts from around the world. NCUC's conference will also explore policy issues related to controversial new domain names such as protection for freedom of expression in the face of cultural differences and sensitivities. Concerns about intellectual property rights and new top-level domain names remains an area under rapid development and will be ripe for discussion as well as activities related to extra-territorial domain name seizures. Including human rights principles in ICANN policy development will be considered, in addition to ways civil society can become involved in the development of ICANN policies, which impact Internet users worldwide. Thanks: "Motion on the Initiation of a Policy Development Process on Uniformity of Contracts to Address Registration Abuse Whereas the Registration Abuse Policies Working Group (RAPWG) recommended in its Final Report 'the creation of an Issues Report to evaluate whether a minimum baseline of registration abuse provisions should be created for all in-scope ICANN agreements, and if created, how such language would be structured to address the most common forms of registration abuse'; Whereas the GNSO Council requested an Issue Report to evaluate whether a minimum baseline of registration abuse provisions should be created for all in scope ICANN agreements, and if created, how such language would be structured to address the most common forms of registration abuse on 6 October 2011; Whereas ICANN Staff posted the Preliminary Issue Report on Uniformity of Contracts on 25 July 2012 for public comment (see http://www.icann.org/en/news/public-comment/uoc-prelim-issue-report-25jul12…) Whereas ICANN Staff reviewed the comments received and updated the report accordingly; Whereas the Final Issue Report on Uniformity of Contracts was published on 20 September 2012; Whereas, the Final Issue Report recommends that the GNSO Council proceed with a Policy Development Process limited to consideration of the issues discussed in this report, and the General Counsel of ICANN has indicated the topic is properly within the scope of the ICANN policy process and within the scope of the GNSO. THEREFORE BE IT: Resolved, the GNSO will initiate a PDP on the issues defined in the Final Issue Report on Uniformity of Contracts (link) Resolved, a DT will be formed to create a charter for a Working Group, which will be submitted to the GNSO Council for its approval. Resolved, following the approval of the charter, a Working Group will be created for the purpose of fulfilling the requirements of the PDP." Making the GNSO aware of the IANA Business Excellence Workshop in Toronto

On behalf of: Leo Vegoda ICANN's IANA Department has been working on a Business Excellence activity since 2009, with a goal of sustainable, continual improvement. As part of that work, the department has conducted a series of annual self-assessments and made significant improvements in planning, process structure and customer satisfaction. This workshop (http://toronto45.icann.org/node/34249) is designed to inform users of our services about the work we have done and gather input for future work to improve services in the future.
