Following the usual email decision procedure, could you be so kind to express your support, objection(s) to adopt the draft resolution or raise questions if you have any regarding the decision/resolution by 29 April 2016, 13.00 UTC. Thank you and kind regards, Bart Draft Decision Background Transparency requires that, ICANN¹s constituent bodies operate in an open and transparent manner. This does not only imply that recordings, transcripts of meetings, if made, and notes and minutes are made publicly available after meetings, but also that face-to-face meetings are open to observers, and will be listed as such. However, some matters do justify confidentiality and excluding the public, such as (example list): · Employment matters · Discussion on persons · Contractual matters · Any proceedings of the Ombudsman · Consideration of any legal advice that would involve a risk of waiver of privilege if the meeting were not closed · Any item where there has been a request to deal with it in confidence and where that request is granted Further, it is self-evident that for meetings of Council, WGs, Committees, only appointed members or others, listed as liaisons or other form of formal participant may actively contribute, but the presumption has to be, that all meetings, including Council prep, WG meetings, have to be open to observers i.e. to people who want to listen to and watch the proceedings of the meeting in real time, without participating. Draft Resolution 1. All face-to face ccNSO, ccNSO Council or ccNSO chartered Working group meetings shall be open to observers, unless a majority of the voting members present at the meeting resolve to close the meeting due to the confidential nature of the topic being dealt with. If so, that part of the meeting shall only be closed to observers for the duration of the deliberations of the confidential item. 2. The ccNSO Guideline Review Committee is requested to update the relevant Guidelines accordingly, and submit them to Council for adoption. 3. The chair of the Council is requested to inform the chairs of the ccNSO chartered WG’s of this Council decision.

14-2016 - Draft new ICANN Bylaws

Topic: 14-2016 - Draft new ICANN Bylaws Originator: ICANN Summary of request: Now that the IANA Stewardship Transition Coordination Group (ICG) and Cross Community Working Group on Enhancing ICANN Accountability (CCWG-Accountability) proposals have been transmitted to NTIA, one of the key implementation planning items is to amend the ICANN Bylaws to reflect the recommendations in those Proposals. Both the independent counsel to the community groups and ICANN's General Counsel have confirmed that the proposed Draft New ICANN Bylaws are consistent with the community proposals relating to the IANA Stewardship Transition. These proposed draft Bylaws, are out for a 30-day public comment from 21 April – 21 May to allow any interested party to review and provide feedback. This timeline allows for comments to be analyzed and incorporated in time for a tentative 27 May adoption of the Bylaws by the ICANN Board. NTIA has stated that it needs to see that changes to the Bylaws have been adopted sufficient to implement the Transition Proposals before NTIA can complete its review of the Transition Proposals. Just one observation, finding a time slot on Monday for Council prep meeting without overlap with Tech Day is going to be hard (very early in the morning or late in the afternoon). Dear All This is a kind reminder that the ccNSO Meetings Programme WG is looking out for presenters for the next ICANN meeting in Helsinki, specifically to join the following sessions: 1. *Marketing*: use of social networks, partnership with registrars, marketing strategies, customer surveys, campaigns, added customer services, advertising, promotions, etc. 2. *Legal*: changes of policies, court cases, lawsuits, adaptations to new national laws, etc. 3. *ccTLD news*: any new development, ccTLD activities, your way of managing your ccTLD, any experience worth sharing (what worked and what didn't work), etc. If your registry would like to participate, please send an email either to me or Joke Braeken (joke.braeken(a)icann.org) *before May 20th*, with this information: 1. *Session*: Marketing, Legal or ccTLD news 2. *Exact title of presentation*: 3. *Name of presenter*: 4. *Short summary of presentation* (2-3 sentences): 5. *Estimated time needed*: This information is crucial for the Programme Working Group, in order to be able to plan the sessions. The summary will also be published online prior to the meeting, so that all participants can read and know what to expect. Depending on the amount of proposals, the Programme Working Group can’t always guarantee a slot to all volunteers and there will have to be a selection. The summary will be very helpful in this process. Please feel free to forward this information to anyone in the ccTLD community that you consider appropriate.
