Adoption Final Report Finance WG & next steps For discussion and adoption Draft Resolution Background In December 2024, the ccNSO Council established a second Finance Working Group and tasked it with the following responsibilities: ● Review the 2013 value exchange model and related monetary model underpinning the current (2013) expected financial contribution to ICANN; ● Explore the discrepancy between the total contribution and expected contribution over time since 2013. ● Explore and suggest ways to address the discrepancy between total contributed amount and expected amount. The working group reviewed the value exchange model and financial underpinning (cost model). Based on the review, the cost model (formerly the “monetary model”) has been updated and the total expected contribution amount is USD $ 3.6 million (under the 2013 Guideline and first review it was: USD $ 3.5 million) The WG also reviewed both the principles and the band model of the current (2013) contribution guideline. The WG does not see a need for substantive changes, however a refinement of both the principles and the contribution model is proposed. To address the discrepancy between the total contributed amount and the expected contributions the WG suggests that, under the main principle of the voluntary nature of the financial contributions, a change in models will not make a substantial difference in closing the discrepancy in the levels of contribution. However, based on the consultations and survey results, the WG believes that a more segmented and personalized approach by ICANN to the ccTLDs could make a difference. In the view of the WG this approach should be based on the diverse characteristics of ccTLDs (such as size, operating environment, governance model, and budgeting cycles) and should emphasize both the value exchange between each ccTLD and ICANN and the core values, such as the IANA Naming Function services, that are important to ccTLDs. The WG submitted its final report to Council on 15 August 2025. Decision The ccNSO Council accepts the Final Report of the 2nd Finance Working Group and adopts the Principles and Banded Model contained in Annex A of the report. For avoidance of any misinterpretation the principles and banded model are a tool to assist individual ccTLDs in determining their voluntary financial contribution to ICANN. The chair of the ccNSO Council is requested to share the report with ICANN’s CEO and President, specifically the Principles and Banded Model in Annex A. The chair of the Council is also requested to suggest to ICANN to use a segmented and personalized conversation regarding the voluntary financial contribution by ccTLDs as contemplated in the Final Report. The secretariat is requested to replace the 2013 Guideline with the 2025 Principles and Banded Model, when this decision becomes effective. The Council expresses its deep felt appreciation for the work of the working group members and ICANN staff in bringing this project to close in such a relatively short time frame and exemplary work. This resolution becomes effective seven (7) days after publication of the resolution. The Working group is formally closed when this resolution becomes effective. 16. Closure “How we meet” CCG Deferred, the Final Report has not yet been published. 17. Approval of 2nd IANA Function Review Team recommendations No decision in July, is deferred to meeting 220 until. Draft Resolution Background The ccNSO Council is required to support the recommendations from the 2nd IFRT to make it to a Naming Function Contract Change: Section 18.6 (b) of the Bylaws<https://www.icann.org/en/governance/bylaws#article18> reads that any recommendations by the IFR that would amend the IANA Naming Function Contract shall only become effective if: (i) The IFR Recommendation has been approved by the vote of (A) a supermajority of the ccNSO Council (pursuant to the ccNSO's procedures or, if such procedures do not define a supermajority, two-thirds (2/3) of the ccNSO Council's members) and (B) a GNSO Supermajority;” The IFR2 will make the following recommendations that meet the above criteria (note: the IFR2 draft report<https://www.icann.org/ar/public-comment/proceeding/second-iana-naming-funct…> that was published for public comment in March-April 2025 also included these two recommendations and received no objections. The final report is now moving through the final consensus steps with the IFR2). ● Recommendation 1: The IFRT2 recommends removing the policy details from the IANA Naming Function Contract (see Annex A, 4 (i) (1)). ● Recommendation 2: The IFRT2 recommends identifying and pointing to the appropriate policy authority for DNSSEC in the IANA Naming Function Contract (see Annex A, 4 (i) (1)). Decision The ccNSO Council approves the recommended changes to the IANA Naming Function Contract as suggested by the IFRT2. The secretariat is requested to publish this resolution as soon as possible. The resolution becomes effective seven (7) days after publication. 18. Support transfer IANA Intellectual property rights from IETF Trust to IETF IPMC Support request for transfer of IANA Intellectual proprietary rights from IETF Trust to IETF Intellectual Property Management Corporation. The ccNSO appointee on the cross-community group overseeing and ensuring accountability of use of Intellectual property rights, advises to support the transfer, which is a legal, technical change that in his view has no impact on the objectives behind the transfer and licensing of the IANA IPR. Background material: Note Maarten Simon on Transfer of IANA IPR, circulated to Council in July 2025. Draft Resolution Background As part of the IANA Stewardship Transition the IETF Trust assumed stewardship of the IANA IPR in September 2016. Its responsibilities included maintaining the IANA-related trademarks and domain names and licensing them to the IANA functions operator (ICANN/PTI) under a set of agreements. In addition, and also as part of the Transition the Community Cooperation Group (CCG) was established to provide oversight and ensure accountability in the use of IANA Intellectual assets. The CCG consists of 3 representatives from each of the 3 IANA customer groups (names, numbers, and protocols) and the ccNSO is one of the groups who appoints a representative of the naming group, Maarten Simon. Recently the Council was informed that the IANA Intellectual proprietary rights will be transferred from IETF Trust to IETF Intellectual Property Management Corporation, pending the implementation of a series of Bylaw amendments of the IPMC suggested by the CCG. Recently the IPMC agreed to implement the suggested amendments. The transfer of the Stewardship is first and foremost a legal technical change that has no impact on the objectives behind the licensing of the IANA IPR. The ccNSO representative requested the Council to decide whether or not to support the transfer. Decision The ccNSO Council supports the transfer of the stewardship of the Intellectual Property Rights from the IETF Trust Fund to the IETF Intellectual Property Management Corporation as suggested. The secretariat is requested to publish this decision as soon as possible. The decision becomes effective seven (7) days after publication. The secretariat is further requested to inform the ccNSO appointee on the CCG, upon publication of this resolution. 19. Initiate ccNSO Council statement procedure to provide comment on the draft "The Root Server System Governance Structure" For discussion and decision Draft Resolution Decision The ccNSO Council initiates the Council Statement process to provide comments on the initial report: "The Root Server System Governance Structure". The Council requests Peter Koch, and Luis Diego Espinoza, the ccNSO appointed members to the RSS GWG, to advise the drafters of the submission. A draft statement is expected by the next Council meeting (meeting 221).The secretariat is requested to seek volunteers from Council, and start the drafting process as soon as possible. This resolution becomes effective upon publication. 20. Re-schedule review of working groups and committees For discussion and decision In March 2025, the Council adopted a schedule to review the various ccNSO Committees, starting with the MPC before the Prague meeting. Due to various circumstances this review did not start at the intended time. Proposal is to re-schedule the reviews, including the review of MPC, starting now in September 2025. This also includes a call for volunteers (at least 3 Councillors). Decision The ccNSO Council adopts the updated schedule as proposed and requests the secretariat to publish the revised schedule. The secretariat is requested to seek volunteers for the MPC starting in September, including at least 3 Councillors who have not participated in the MPC. The volunteers are to be appointed at the next Council meeting. The secretariat is also requested to update the ccNSO workplan accordingly. This decision becomes effective upon publication. 21. Dear All, The ccNSO seeks two volunteers to the ICANN Review of Reviews CCG. The call for volunteers will close Friday, 15 August 2025 (23:59 UTC). RoR CCG Purpose The purpose of the CCG is to manage a fundamental evaluation of the following reviews set out in the ICANN Bylaws, as a whole system, including their implementation, and propose a refreshed system of reviews. The reviews and their past outcomes to be evaluated include: * Periodic review of ICANN structure and operations (section 4.4), * Annual Review (section 4.5) and * Specific Reviews (section 4.6); and * Previously conducted Reviews; and * Reviews that have previously been formally recommended. The CCG will not evaluate the Continuous Improvement Program itself, but will take account of its work and will consider how it can best contribute to the broader system of reviews. Membership Criteria The RoR CCG Charter (draft version)<https://www.icann.org/en/system/files/correspondence/reynoso-to-sinha-30jul…> as adopted by the ccNSO Council on 7 August 2025 includes the following criteria for members to serve on the CCG: The CCG as a whole should have: * Knowledge of performance assessment, audits, and organizational reviews. * Expertise in good governance. * Understanding of performance measurement. * Knowledge of process improvement and review methods. * Understanding of principles of accountability applicable to organizations broadly similar to ICANN. Each of the individual members is expected to: * Have sufficient expertise and understanding of the ICANN reviews to participate in the discussions * Commit to actively participate in the activities of the CCG on an ongoing basis; and * Where appropriate, solicit and communicate the views and concerns of individuals in the group that nominates them. ccNSO appointed members to the CCG do act in their individual capacity and do not represent the ccNSO. In addition, the following criteria are proposed specifically for the ccNSO appointees: * Where relevant support from their employer to serve on the CCG. Based on the timelines, this should be an acknowledgement for at least a year including acknowledgement that travel may be involved. * Commitment to participate actively in the work of the CCG (including willingness to travel when so requested), and in debriefing session with Council leadership * At least one Councillor, to be able to directly update the Council regularly. Time commitment As per the draft charter, the CCG work plan and associated schedule, should take into account the deliverables through ICANN84, ICANN85 and ICANN86. This session provides a platform for sharing updates, insights, and discussions on country code top-level domains (ccTLDs). Both in-person and virtual participation will be available, with simultaneous interpretation in English, French, and Spanish. Dear All, The ccNSO seeks two volunteers to the ICANN Review of Reviews CCG. The call for volunteers will close Friday, 15 August 2025 (23:59 UTC). RoR CCG Purpose The purpose of the CCG is to manage a fundamental evaluation of the following reviews set out in the ICANN Bylaws, as a whole system, including their implementation, and propose a refreshed system of reviews. The reviews and their past outcomes to be evaluated include: * Periodic review of ICANN structure and operations (section 4.4), * Annual Review (section 4.5) and * Specific Reviews (section 4.6); and * Previously conducted Reviews; and * Reviews that have previously been formally recommended. The CCG will not evaluate the Continuous Improvement Program itself, but will take account of its work and will consider how it can best contribute to the broader system of reviews. Membership Criteria The RoR CCG Charter (draft version)<https://www.icann.org/en/system/files/correspondence/reynoso-to-sinha-30jul…> as adopted by the ccNSO Council on 7 August 2025 includes the following criteria for members to serve on the CCG: The CCG as a whole should have: * Knowledge of performance assessment, audits, and organizational reviews. * Expertise in good governance. * Understanding of performance measurement. * Knowledge of process improvement and review methods. * Understanding of principles of accountability applicable to organizations broadly similar to ICANN. Each of the individual members is expected to: * Have sufficient expertise and understanding of the ICANN reviews to participate in the discussions * Commit to actively participate in the activities of the CCG on an ongoing basis; and * Where appropriate, solicit and communicate the views and concerns of individuals in the group that nominates them. ccNSO appointed members to the CCG do act in their individual capacity and do not represent the ccNSO. In addition, the following criteria are proposed specifically for the ccNSO appointees: * Where relevant support from their employer to serve on the CCG. Based on the timelines, this should be an acknowledgement for at least a year including acknowledgement that travel may be involved. * Commitment to participate actively in the work of the CCG (including willingness to travel when so requested), and in debriefing session with Council leadership * At least one Councillor, to be able to directly update the Council regularly. Time commitment As per the draft charter, the CCG work plan and associated schedule, should take into account the deliverables through ICANN84, ICANN85 and ICANN86. None Only green marks in zoom: approved 4. Procedure to Select Members The ccNSO may propose nominees for CCG in accordance with the ccNSO’s rules and procedures. There is an explicit understanding that there will only be a maximum of two (2) members from each Nominating Group. This implies that if the Council nominates two persons they will become members of the CCG. If Council wants to propose more than two (2) candidates, the final selection will be made by the SOAC Chairs, the ICANN Board Chair and the ICANN President and CEO. Selecting the ccNSO members timely is of the essence. To meet the timeliness in the charter, the CCG will need to be constituted as soon as possible, but definitely the ccNSO and other participating organizations are expected to propose their candidates by 22 August. To meet this deadline our regular selection procedure (which among others, includes a two weeks call for expression of interest) will not work. For that reason the following procedure is proposed, which both ensures transparency, openness and timely appointment of suitable candidates. a. Criteria for Members The Charter as supported includes the following criteria for members to serve on the CCG: The CCG as a whole should have: · Knowledge of performance assessment, audits, and organizational reviews. · Expertise in good governance. · Understanding of performance measurement. · Knowledge of process improvement and review methods. · Understanding of principles of accountability applicable to organizations broadly similar to ICANN. Each of the individual members is expected to: · Have sufficient expertise and understanding of the ICANN reviews to participate in the discussions · Commit to actively participate in the activities of the CCG on an ongoing basis; and · Where appropriate, solicit and communicate the views and concerns of individuals in the group that nominates them. Members do act in their individual capacity and do NOT represent the ccNSO In addition the following criteria are proposed specifically for the ccNSO appointees: · Where relevant support from their employer to serve on the CCG. Based on the timelines, this should be an acknowledgement for at least a year including acknowledgement that travel may be involved). · Commitment to participate actively in the work of the CCG (including willingness to travel when so requested), and in debriefing session with Council leadership · Diversity (geographically, gender) · At least one Councillor, to be able to directly update the Council regularly. No other criteria was proposed. Draft Resolution Decision Under the condition that the resolution to adopt the Charter of the CCG becomes effective on 14 August, the ccNSO Council adopts the criteria as proposed for selection of the ccNSO nominees to the Review of Reviews Cross-Community Group. This resolution becomes effective immediately upon publication. Alejandra: max of 2 members form each nominating group. Criteria listed in the charter. Some specific to us. Any comments or questions? Number of members to select To ensure that the ccNSO selects its candidates, it is suggested that the only two candidates are selected by the Council. Selection Committee - Members and Mandate To select the two candidates the following procedure was suggested: · The Council appoints a selection committee of maximum 6 people (preferably from all regions, and one NomCom Appointee) on 7 August, that includes at least one or both vice-chairs. The chair of the Council will not take part as the chair will participate in the final selection procedure, together with the other Chairs. The selection committee should also exclude the Councillors who want to participate in the CCG. · The Councillor(s) who want to participate in the CCG, will put their name forward to the selection committee, through the secretariat. · Other persons, who want to participate will put their name forward to the selection committee as well, through the secretariat. · Individual members of Council, including individual members of the selection committee, may actively solicit community members to express interest in participating in the CCG. · The call for expression of interest is limited to one week, starting 8 August, and closing on 15 August. · The selection committee will meet on 19 August to select the two candidates, preferably by consensus, if necessary by a voting (4 out of 6 majority needed), and if needed multiple rounds, whereby persons receiving least votes will drop off the list of candidates. No other procedure or changes were suggested. Draft Resolution Decision The ccNSO Council adopts the procedure as suggested to select two candidates for the Review of Review CCG. The following Councillors are appointed as members of the selection committee: 1. Jordan Carter, .au 2. Peter Koch, .de 3. Biyi Oladipo, .ng 4. Olga Cavalli, NomCom appointee 5. Everton Rodrigues, .br 6. Sean Copeland, .vi Councillors are requested to actively solicit persons who they believe meet the membership criteria to submit an expression of interest. The selection committee is requested to report on the outcome to Council at the next, regular Council meeting on 21 August. This resolution becomes effective upon publication. The Chair with the secretariat is requested to send out the call for expression of interest, which should include the criteria to serve on the CCG, and the selection method (role of the selection committee). Dear Councillors I am pleased to inform you that the SO/AC Chairs have agreed on the text of the charter for the Review of Reviews cross-community group, and on their behalf I have sent the final draft charter to the Board for their consideration and action, pending formal approval of the SOs and ACs. For your reference I have included it as an attachment. Pending the formal approval of the Charter, the Chairs have also agreed to start the membership selection process. Going forward, as ccNSO Council we will need take the following decisions: 1. Formally support the charter 2. Decide on the criteria to select members 3. Decide on the procedure to select the members 4. Selection and appointment of members Before going into the details of each of these points, and considering the timelines outlined in the CCG Charter, I suggest that we have an extraordinary meeting on Thursday 7 of August at 12:00 UTC. 1. Support of the charter – Although you have mandated Biyi, Jordan and me to move forward with the charter, I suggest that for the record the Council expresses its formal support for the charter. If you agree we’ll use the meeting on the 7 of August. 2. Decide on the criteria to select members– Before we select our candidates, we should agree on the criteria for the ccNSO appointees. I suggest that we adopt the criteria on our call on the 7 of August. Based on the timelines, this should be an acknowledgement of their dedication for at least a year including acknowledgement that travel may be involved. - Commitment to participate actively in the work of the CCG (including willingness to travel when so requested), and in debriefing sessions with Council leadership. - Diversity (geographical, gender). - At least one Councillor, to be able to directly update the Council regularly. If you propose other criteria, please do so on the list, by Wednesday 6 of August, so we can include them in the list of criteria. 3. Decide on the procedure to select the members – The ccNSO may propose nominees for membership in the group in accordance with our own rules and procedures. There is an explicit understanding that there will only be a maximum of two (2) members from each Nominating Group. This implies that if we nominate two persons they will become members of the CCG. If we want to propose more than two (2) candidates, the final selection will be made by the SOAC Chairs, the ICANN Board Chair and the ICANN President and CEO. To ensure that we select our candidates, I suggest that we select only two candidates. Selecting the ccNSO members timely is of the essence. To meet the timelines in the charter, the CCG will need to be constituted as soon as possible, but definitely by the week of 25 of August. To meet this deadline our regular selection procedure (which among others, includes a two weeks call for expression of interest) will not work. For that reason I suggest that we follow a procedure that is both transparent and open and ensures that we appoint our best candidates timely. To select our two candidates, I suggest the following procedure: - On the 7 of August, appoint a selection committee of maximum 6 people (preferably from the 5 regions, including one NOMCOM appointee), that includes at least one or both vice-chairs. I as Chair will not take part as I also will participate in the final selection procedure, together with the other Chairs. The selection committee should also exclude the Councillors who want to participate in the CCG. - The call for expression of interest will be limited to one week, starting on 8 of August, and closing on 15 of August. - The Councillor(s) and others who want to participate, will put their name forward to the selection committee, through the secretariat. - Individual members of Council, including individual members of the selection committee, may actively solicit community members to express interest to participate. - The selection committee will meet on the 19 of August to select the two candidates, preferably by consensus, if necessary by a voting (4 out of 6 majority needed), and, if needed multiple rounds, persons receiving least votes will drop off the list of candidates. If you prefer another procedure or suggest changes, please share so on list. I also suggest that we agree on the procedure on our call on the 7 of August. 4.
